AGREEMENT REGARDING PROPERTY TAX TIF REVENUE SHARING <br />Highway 42 Revitalization Area <br />This Agreement regarding Property Tax TIF Revenue Sharing (the "Agreement") is made <br />as of May 19 , 2020 by and among the LOUISVILLE REVITALIZATION <br />COMMISSION, a body corporate and politic of the State of Colorado (the "Commission"), the <br />CITY OF LOUISVILLE, a Colorado municipal corporation (the "City"), and the LOUISVILLE <br />FIRE PROTECTION DISTRICT, a fire protection district organized pursuant to Title 32 of the <br />Colorado Revised Statutes (the "District"), collectively, the "Parties" and individually a "Party." <br />RECITALS <br />A. Pursuant to the Colorado Urban Renewal Law, Section 31-25-101, et seq., C.R.S. <br />(the "Act"), the City Council of the City passed and adopted Resolution No. 37 approving the <br />Highway 42 Revitalization Area Urban Renewal Plan (the "Plan") to carry out the urban renewal <br />project (the "Urban Renewal Project") described in the Plan for the area described therein (the <br />"Urban Renewal Area"). <br />B. The Act provides, and the Plan contains, a provision authorizing the financing of <br />the Urban Renewal Project through, among other methods, the use of property tax increments as <br />authorized by the Act ("Property Tax TIF"). <br />C. The City and the Commission previously entered into a Tri-Party Agreement with <br />the County of Boulder, dated December 5, 2006 (the "Tri-Party Agreement") which provides <br />that commencing on January 1, 2015, there shall be paid to the County certain County TIF <br />revenues, as further defined and set forth in the Tri-Party Agreement. <br />D. The City and the Commission previously entered into an Amended and Restated <br />Cooperation Agreement dated April 5, 2011 (the "2011 Cooperation Agreement") which <br />provides that the Commission shall repay to the City certain City Costs and Expenses incurred <br />by the City for the provision of Operating Funds and Support Services for the Commission, as <br />further defined and set forth in the 2011 Cooperation Agreement. <br />E. The City and the Commission previously entered into a Cooperation Agreement <br />(Highway 42 Revitalization Area South Street Gateway Project Funding), dated November 5, <br />2012 (the "2012 Cooperation Agreement") relating to financial assistance for the construction of <br />the South Street Gateway to be located at the crossing of South Street under the Burlington <br />Northern Railroad right-of-way, as further set forth in the 2012 Cooperation Agreement. <br />F. The Commission issued its Property Tax Increment Revenue Bonds (DELO <br />Project), Series 2014 on October 23, 2014, in the principal amount of $4,500,000 (the "2014 <br />Bonds") and pledged the Property Tax TIF revenue from the Core Project Area (as defined in the <br />
