FIRST AMENDMENT <br />TO PUBLIC INFRASTRUCTURE ASSISTANCE AGREEMENT <br />This First Amendment to Public Infrastructure Assistance Agreement <br />("Amendment") is made and entered into as of December 31, 2020, by and among the <br />LOUISVILLE REVITALIZATION COMMISSION (the "LRC"), the CITY OF LOUISVILLE <br />(the "City"), and 824 SOUTH, INC., a Colorado corporation (the "Developer") (The LRC, <br />the City, and Developer are collectively the "Parties"). <br />WHEREAS, the LRC is a public body corporate and politic authorized to transact <br />business and exercise its powers as an urban renewal authority Linder and pursuant to <br />the Colorado Urban Renewal Law, Part 1 of Article 25 of Title 31, C.R.S. (the "Act"); and <br />WHEREAS, the City is a home -rule city and municipal corporation duly organized <br />and existing under and pursuant to Article XX of the Colorado Constitution and Charter of <br />the City (the "Charter"); and <br />WHEREAS, the Developer is the owner of certain real property located at 957 Main <br />Street and 824 South Street, Louisville, CO (the "Property"), which property is located <br />within the area (the "Plan Area") described in the Highway 42 Revitalization Area Urban <br />Renewal Plan (the "Plan"); and <br />WHEREAS, the LRC, the City, and Developer are parties to that certain Public <br />Infrastructure Assistance Agreement, dated April 15, 2020 ("Original Agreement"), <br />concerning the funding and construction of a mixed -use project on the Property, which <br />project includes public and private infrastructure improvements; and <br />WHEREAS, construction on the Project is now underway, but due to unforeseen <br />circumstances, the Developer is anticipating Project completion may be delayed and that <br />the Developer's costs may exceed the amounts set forth in Exhibit A to the Original <br />Agreement; and <br />WHEREAS, the Parties now desire to amend the Original Agreement to extend the <br />Project completion deadline and increase the not -to -exceed project amount. <br />NOW, THEREFORE, in consideration of the premises and promises contained <br />herein, the LRC, the City, and the Developer hereby agree to amend the Original <br />Agreement as follows: <br />1. The amount paid by the City to the Developer in accordance with the <br />Original Agreement shall not exceed $295,196.52 ("Maximum Contract Amount"). <br />Page 1 of 2 <br />
