FIRST AMENDMENT TO BUSINESS ASSISTANCE AGREEMENT <br />FOR QUICKSILVER SCIENTIFIC, INC. IN THE CITY OF LOUISVILLE <br />THIS FIRST AMENDMENT TO BUSINESS ASSISTANCE AGREEMENT <br />FOR QUICKSILVER SCIENTIFIC, INC. IN THE CITY OF LOUISVILLE ("First <br />Amendment") is made and entered into as of the 16th day of <br />March 2021, between the CITY OF LOUISVILLE, a <br />Colorado home rule municipal corporation (the "City"), and QUICKSILVER <br />SCIENTIFIC, INC. (the "Company"), a Delaware corporation. <br />WHEREAS, by Resolution No. 8, Series 2019, the City Council approved a <br />Business Assistance Agreement for Quicksilver Scientific, Inc. (the "Agreement") <br />to provide certain business assistance in connection with tenant improvements <br />associated with Company's headquarters relocation (the "Project") to 1960 Cherry <br />Street, Louisville, Colorado (the "Project Location"); and <br />WHEREAS, the Company is expanding operations at the Project Location <br />to meet new demand as well as enter new markets; and <br />WHEREAS, the Company has already generated new quality jobs in the <br />City and intends to continue growth that represents job diversity in Louisville; and <br />WHEREAS, the Company's planned construction schedule for the <br />relocation has been delayed, with completion now expected by June 30, 2021 <br />instead of March 31, 2020; and <br />WHEREAS, the Company's build -out has involved multiple phases of work <br />and resulted in higher project costs than initially estimated, with a rebate cap <br />anticipated to be $60,000 rather than $40,000; and <br />WHEREAS, the City Council finds the execution of this First Amendment to <br />extend the completion date and the period for building permit rebates and use tax <br />rebates on construction materials as well as the increased rebate cap will serve to <br />provide benefit and advance the public interest and welfare of the City and its <br />citizens by securing this economic development project within the City. <br />NOW THEREFORE, in consideration of the mutual promises set forth <br />below, the City and Company agree as follows: <br />Section 1. Section 1 of the Agreement is hereby revised to read as follows <br />(words to be deleted s keR; words to be added underlined): <br />1. Building Permit Fee Rebates. The City shall rebate to the <br />Company 50% of the building related permit fees for the <br />Project, required under Louisville Municipal Code, section <br />15.04.050 and section 108.2 of the International Building <br />Page 1 of 3 <br />
