FIRST AMENDMENT TO BUSINESS ASSISTANCE AGREEMENT <br />FOR THE ALLEN COMPANY, INC. IN THE CITY OF LOUISVILLE <br />THIS FIRST AMENDMENT TO BUSINESS ASSISTANCE AGREEMENT <br />FOR THE ALLEN COMPANY, INC. IN THE CITY OF LOUISVILLE ("First <br />Amendment") is made and entered into as of the 16th day of <br />March , 2021, between the CITY OF LOUISVILLE, a <br />Colorado home rule municipal corporation (the "City"), and THE ALLEN <br />COMPANY, INC. (the "Company"), a Colorado corporation. <br />WHEREAS, by Resolution No. 29, Series 2018, the City Council approved <br />a Business Assistance Agreement for The Allen Company, Inc. (the "Agreement") <br />to provide certain business assistance in connection with construction and build - <br />out with Company's headquarters relocation (the "Project") to 682 CTC Boulevard <br />and 609 104th Street, Louisville, Colorado (the "Project Location"); and <br />WHEREAS, the Company brought its office headquarters, warehouse, and <br />some manufacturing operations to the Project Location; and <br />WHEREAS, the Company has located 150 quality jobs in the City and <br />continues to provide for growth and job diversity in Louisville; and <br />WHEREAS, the Company's planned construction schedule was longer than <br />anticipated by the original December 31, 2019 timeline but is now complete; and <br />WHEREAS, the Company's construction also resulted in higher taxes and <br />fees than originally estimated by staff, so an increased rebate cap from $150,000 <br />to $254,000 would allow the intent of the 50% rebates to be captured; and <br />WHEREAS, the City Council finds the execution of this First Amendment to <br />extend the completion date and the period for building permit rebates and use tax <br />rebates on construction materials as well as the increased rebate cap will serve to <br />provide benefit and advance the public interest and welfare of the City and its <br />citizens by securing this economic development project within the City. <br />NOW THEREFORE, in consideration of the mutual promises set forth <br />below, the City and Company agree as follows: <br />Section 1. Section 1 of the Agreement is hereby revised to read as follows <br />(words to be deleted Str ; words to be added underlined): <br />1. Building Permit Fee Rebates. The City shall rebate to the <br />Company 50% of the building related permit fees for the <br />Project, required under Louisville Municipal Code, section <br />15.04.050 and section 108.2 of the International Building <br />Code as adopted by the City for the Project, for the period <br />Page 1 of 3 <br />
