RESOLUTION NO.25 <br />SERIES 2021 <br />A RESOLUTION APPROVING AN AGREEMENT WITH GRAVES CIVIC <br />SOLUTIONS, LLC FOR CONSULTING SERVICES IN CONNECTION WITH THE <br />LOUISVILLE EQUITY, DIVERSITY, AND INCLUSION TASK FORCE <br />WHEREAS, pursuant to Section 10-2(f) of the Charter for the City of Louisville, Section <br />2.20.020.F of the Louisville Municipal Code, and Resolution No. 5, Series 2021, the City Council <br />has created an Equity, Diversity, and Inclusion ("BDI") Task Force ("Task Force") to provide <br />advisory recommendations to the City Council with respect to community issues affecting Black, <br />Indigenous, and people of color ("BIPOC"); and <br />WHEREAS, the Task Force will consist of eleven (11) members that include City <br />residents and nonresidents, homeowners and renters, business owners, BIPOC business owners <br />located outside the City, employees who work in various industries within the City, community <br />activists and leaders, youth and those who work with youth, and City staff; and <br />WHEREAS, the City desires to engage Graves Civic Solutions, LLC (the "Consultant") <br />for the purpose of establishing specific criteria for membership on the Task Force, providing the <br />Task Force with the necessary expertise to support the goals of the Task Force, and to facilitate <br />the activities of the Task Force in meeting its responsibilities; and <br />WHEREAS, there has been proposed Consulting Agreement to set forth the Consultant's <br />duties and responsibilities in connection with the Task Force; and <br />WHEREAS, the City Council desires to approve the Consulting Agreement by this <br />Resolution. <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY <br />OF LOUISVILLE, COLORADO: <br />Section 1. The Agreement by and between the City of Louisville and Graves Civic <br />Solutions, LLC ("Agreement") for consulting services in connection with the Louisville Equity, <br />Diversity, and Inclusion Task Force, a copy of which Agreement accompanies this Resolution, is <br />hereby approved. <br />Section 2. The Mayor and City Clerk are hereby authorized to execute the Agreement, <br />and the Mayor is hereby further authorized to negotiate and approve such revisions to the Agreement <br />as the Mayor determines are necessary or desirable for the protection of the City, so long as the <br />essential terms and conditions of the Agreement are not altered. <br />PASSED AND ADOPTED this 161" day of March, 2021. <br />Resolution No. 25, Series 2021 <br />Page 1 of 2 <br />
