AN AGREEMENT BY AND BETWEEN THE CITY OF LOUISVILLE <br />AND GRAVES CIVIC SOLUTIONS <br />FOR CONSULTING SERVICES <br />1.0 PARTIES <br />This AGREEMENT FOR CONSULTING SERVICES (this "Agreement") is made and entered <br />into this 16_ day of _March , 2021_ (the "Effective Date"), by and between the City of <br />Louisville, a Colorado home rule municipal corporation, hereinafter referred to as the "City", and <br />Graves Civic Solutions, a hereinafter referred to as the <br />"Consultant". <br />2.0 RECITALS AND PURPOSE <br />2.1 Pursuant to Section 10-2(f) of the Charter for the City of Louisville, Section 2.20.020.F of <br />the Louisville Municipal Code, and Resolution No. 5, Series 2021, the City Council has <br />created an Equity, Diversity, and Inclusion ("EDI") Task Force ("Task Force") to provide <br />advisory recommendations to the City Council with respect to community issues affecting <br />Black, Indigenous, and people of color (`BIPOC"). <br />2.2 The Task Force will consist of eleven (11) members that include City residents and <br />nonresidents, homeowners and renters, business owners, BIPOC business owners located <br />outside the City, employees who work in various industries within the City, community <br />activists and leaders, youth and those who work with youth, and City staff. <br />2.3 The City desires to engage the Consultant for the purpose of assisting with the seating of <br />membership on the Task Force, providing the Task Force with the necessary expertise to <br />support the goals of the Task Force, and to facilitate the activities of the Task Force in <br />meeting its responsibilities and services as further set forth in the Consultant's Scope of <br />Services (which services are hereinafter referred to as the "Services"). <br />2.4 The Consultant represents that it has the special expertise, qualifications and background <br />necessary to complete the Services. <br />3.0 SCOPE OF SERVICES <br />The Consultant agrees to provide the City with the specific Services and to perform the specific <br />tasks, duties and responsibilities set forth in Scope of Services attached hereto as Exhibit `B" and <br />incorporated herein by reference. <br />4.0 COMPENSATION <br />4.1 The City shall pay the Consultant for Services under this agreement a total not to exceed the <br />amounts set forth in Exhibit "B" attached hereto and incorporated herein by this reference. <br />For Services compensated at hourly or per unit rates, or on a per -task basis, such rates or <br />costs per task shall not exceed the amounts set forth in Exhibit `B".
