The County shall pay all invoices from the City within 60 days of receipt of the same. <br />The City and County agree that any additional non -Party funds obtained for the <br />Improvements shall be applied to reduce equally each Parry's share of the costs of the <br />Improvements. When completed, each entity will retain ownership and maintenance <br />responsibility for the sections within their respective jurisdictions. <br />B. ENTIRE AGREEMENT; AMENDMENTS; TERM & TERMINATION. <br />This Agreement contains the entire agreement between the Parties. It may be amended <br />only by written agreement approved by both Parties. This Agreement shall be effective <br />on the date first above written, and shall continue in force and effect until terminated by <br />mutual written Agreement of the Parties. <br />C. SEVERABILITY. <br />If any provision of this Agreement is held by a court in a final, non -appealable decision <br />to be invalid or unenforceable as to any Parry, such provision shall be ineffective only to <br />the extent of such invalidity or unenforceability, and the remaining provisions shall <br />continue in full force and effect and remain binding on the Parties. <br />D. NO JOINT VENTURE OR PARTNERSHIP. <br />Nothing contained in this Agreement is intended to create a partnership or joint venture <br />between the City and the County with respect to the Project, and any implication to the <br />contrary is hereby expressly disavowed. It is understood and agreed that this Agreement <br />does not provide for the joint exercise by the Parties of any activity, function or service, <br />nor does it create a joint enterprise, nor does it authorize any party hereto to act as an <br />agent of the other Parry hereto for any purpose whatsoever. <br />E. NO THIRD -PARTY BENEFICIARIES. <br />Nothing under this Agreement shall be construed to give any rights or benefits in this <br />Agreement to anyone other than the City and the County and all duties and <br />responsibilities undertaken pursuant to this Agreement will be for the sole benefit of the <br />City and the County and not for the benefit of any other party. <br />F. ENFORCEMENT. <br />Any one of the Parties may enforce this Agreement by any legal or equitable means <br />including specific performance, declaratory and injunctive relief. No other person or <br />entity shall have any right to enforce the provisions of this Agreement. <br />G. GOVERNING LAW AND VENUE. <br />This Agreement shall be deemed entered into in Boulder County, Colorado, and shall be <br />governed by and interpreted under the laws of the State of Colorado. Any action arising <br />hereunder shall have venue in Boulder County District Court, and in no other court. <br />
