V. Contingency/ Emergency Reserve: In the first year of the existence of the <br />HPF, 20% of the funds of the HPF shall be placed in an <br />Contingency/Emergency Reserve. On an annual basis, the HPC and City <br />Council shall reevaluate how much should be allocated to this Reserve. These <br />fund shall be accessed only for incentives or acquisitions that become <br />necessary due to exigent circumstances, upon the recommendation of the HPC <br />and approval of City Council. "Exigent circumstances" for purposes of this <br />section shall mean that the HPC has determined that without urgent action, <br />significant damage will be done to the historic fabric or character of <br />Louisville. <br />VI. Design Guidelines: The Downtown Commercial Design Guidelines shall be <br />reviewed and if necessary updated to reflect the purposes of 2008 Louisville <br />Ballot Issue 2A, Ordinance 1544, Series 2008, and this Resolution. The <br />guidelines shall be applied by City staff and City Council unless Council <br />determines that good cause exists to exempt a property owner. In addition, <br />City Council shall appoint a body to examine whether or not design guidelines <br />for residential projects in Old Town are advisable to satisfy these objectives. <br />
