RESOLUTION NO.34 <br />SERIES 2021 <br />A RESOLUTION APPROVING A FIRST AMENDMENT TO AN AGREEMENT <br />BETWEEN THE CITY OF LOUISVILLE AND CARLISLE THOMPSON, LLC FOR <br />CONSULTING SERVICES <br />WHEREAS, the City and Consultant previously entered into an Agreement for Consulting <br />Services (the "Agreement") for the Consultant to provide the City with FEMA grant administration <br />services as set forth Exhibit B attached to the Agreement; and <br />WHEREAS, the compensation for such services is set forth Exhibit C to the Agreement, <br />which provides hourly rates for various personnel of Consultant and a not to exceed amount of <br />$29,030.00; and <br />WHEREAS, due to two of the projects being much larger than anticipated and having <br />other funding sources, which complicates the reporting and close-out, the estimated number of <br />hours and total cost set forth in Exhibit C is not sufficient to complete the work; and <br />WHEREAS, pursuant to the authority set forth in Section 22.2 of the Agreement, the <br />City's Project Manager approved a change order in the amount of $5,000, but additional work is <br />still needed pursuant to the Agreement; and <br />WHEREAS, the City Council desires to increase the compensation available pursuant to <br />this Agreement by $2,500 as set forth in the First Amendment to an Agreement between the City <br />of Louisville and Carlisle Thompson, LLC for Consulting Services, a copy of which First <br />Amendment accompanies this Resolution, in order to facilitate completion of the services by the <br />Consultant. <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY <br />OF LOUISVILLE, COLORADO: <br />Section 1. The First Amendment to an Agreement between the City of Louisville and <br />Carlisle Thompson, LLC for Consulting Services, a copy of which Agreement accompanies this <br />Resolution, is hereby approved. <br />Section 2. The Mayor and City Clerk are hereby authorized to execute the First <br />Amendment, and the Mayor is hereby further authorized to negotiate and approve such revisions to <br />the First Amendment as the Mayor determines are necessary or desirable for the protection of the <br />City, so long as the essential terms and conditions of the First Amendment are not altered. <br />PASSED AND ADOPTED this 4th day of May, 2021. <br />Resolution No. 34, Series 2021 <br />Page 1 of 2 <br />
