REVOCABLE LICENSE AGREEMENT <br />THIS REVOCABLE LICENSE AGREEMENT (hereinafter "Agreement") is <br />made and entered into this day of , 2020, by and between the City <br />of Louisville, Colorado, a home rule municipal corporation (hereinafter "City") and <br />[legal name of license], a [type <br />of entity, e.g., "a Colorado limited liability company'] (hereinafter "Licensee"). <br />WHEREAS, Licensee desires to obtain a revocable and non-exclusive <br />license from the City to use and occupy a portion of the Street right-of- <br />way for temporary patio improvements for food and beverage service; and <br />WHEREAS, the City is willing to grant Licensee a revocable license for such <br />purpose, upon the terms and conditions of this Agreement. <br />NOW, THEREFORE, the City and Licensee agree as follows: <br />1. Licensed Premises. The City hereby grants to Licensee a revocable <br />and non-exclusive license to occupy and use, subject to all of the terms and conditions <br />of this Agreement, the following described premises (the "Premises"): that portion of <br />the Main Street right-of-way and sidewalk lying within the Main Street right-of-way that <br />is located adjacent to (address), as more particularly <br />described and depicted in Exhibit "A", attached hereto and incorporated herein by <br />reference. <br />2. Term; Payment. The license herein granted shall be effective April 22, <br />2020 and shall continue until November 3, 2020 unless this Agreement is sooner <br />terminated as provided herein. City retains the right, in its sole judgement and <br />without any liability to Licensee, to delay the start date and/or end date of the Term <br />for weather related reasons. Licensee shall pay for the license granted herein a non- <br />refundable license fee of $1,000, which fee shall be paid by Licensee within 15 days <br />of receipt of a City invoice for same. <br />3. Purpose and Conduct of Use. The Premises may be occupied and used <br />by Licensee during the term of this Agreement for the sole purpose of constructing, <br />installing, operating, maintaining and repairing a temporary patio for food and <br />beverage service, such patio to consist of decking, fencing, tables, chairs and other <br />necessary facilities as described and depicted in Exhibit "B," attached hereto and <br />incorporated herein by reference. Except as specifically allowed by this Agreement, <br />Licensee shall not place, build, expand, or add to any structures or other items on the <br />Premises. In its use and occupancy of the Premises, Licensee shall strictly comply <br />with the following standards and requirements: <br />(a) Patio service shall commence no earlier than 6 a.m. and end no later <br />than 12 a.m. <br />(b) Alcohol service on the patio shall be limited to retail sales of alcohol <br />Page 1 of 8 <br />Agenda Packet P. 11 <br />
