COOPERATION AGREEMENT <br />Funding to Enhance Downtown Patio Parklets <br />This Agreement (this "Cooperation Agreement" or "Agreement") is made and entered into <br />on June 1, 2021, by and between the CITY OF LOUISVILLE (the "City") and the <br />LOUISVILLE REVITALIZATION COMMISSION (the "LRC"). The City and the LRC are <br />sometimes referred to herein individually as a Party and collectively as the Parties. <br />RECITALS <br />A. The City is a home -rule city and municipal corporation duly organized and existing <br />under and pursuant to Article XX of the Colorado Constitution and Charter of the City (the <br />"Charter"). <br />B. The LRC is a public body corporate and politic authorized to transact business and <br />exercise its powers as an urban renewal authority under and pursuant to the Colorado Urban <br />Renewal Law, Part 1 of Article 25 of Title 31, C.R.S. (the "Act"). <br />C. The City has an established history of providing outdoor dining programs in <br />downtown Louisville, including an outdoor patio program wherein the City rents businesses City - <br />owned patio parklets within City right-of-way adjacent to the businesses (the "Program"). <br />D. Due to pandemic budget constraints, there are not significant patio purchases <br />planned for future years from the City's Capital Improvement Plan; so, at this time, there are no <br />plans to purchase additional fixtures that would enable new participants in the program or allow <br />existing participants to rent more patios. <br />E. Based on increase demand for outdoor dining options, and the expectation that the <br />demand for outdoor dining will continue to increase in future seasons, the LRC has expressed <br />interest in enhancing the Program by increasing the number of downtown patio parklets and <br />canopy systems available to downtown businesses by providing some level of financial assistance <br />for their purchase. <br />F. City staff has received a quote for the purchase of eleven (11) canopy systems <br />(giving the City 15 in total) and four (4) new patio parklets (giving the City 32 in total) (the <br />"Project"). <br />G. With City Council's approval of a temporary closure of Main Street for expanded <br />dining from April 26 through November 1, 2021, the City's purchase of additional patio parklets <br />and canopy systems is not expected to occur until 2022. <br />H. If and when the City resumes the Program in 2022, it is anticipated that patio <br />parklets would again be rented to downtown businesses. <br />1 <br />
