WHEREAS, the City Council believes it to be in the best interest of the City to approve <br />the MOU, the Settlement Participation Forms, and the Colorado Subdivision Escrow Agreement, <br />which will allow settlement proceeds to be used in the City for services, programs, and other <br />purposes related to opioid crisis abatement as set forth in Exhibit A to the MOU; and <br />WHEREAS, the City Council encourages local governments throughout the State of <br />Colorado to approve the MOU, the Settlement Participation Forms, and the Colorado <br />Subdivision Escrow Agreement, as the number of participating local governments will directly <br />affect the amount of the settlement proceeds provided. <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY <br />OF LOUISVILLE, COLORADO: <br />1. The Colorado Opioids Settlement Memorandum of Understanding ("MOU") is <br />hereby approved in essentially the same form as the copy of such MOU accompanying this <br />Resolution. <br />2. The Settlement Participation Forms regarding the pending settlement with <br />manufacturer Janssen (Johnson & Johnson), and the pending settlement with distributors <br />AmerisourceBergen, Cardinal Health, and McKesson (the "Settlement Participation Forms") are <br />hereby approved in essentially the same form as the copies of such Settlement Participation Forms <br />accompanying this Resolution. <br />3. The Colorado Subdivision Escrow Agreement ("Escrow Agreement"), which <br />ensures that the City's legal claims are released only when ninety-five percent (95%) <br />participation by certain local governments has been reached, is hereby approved in essentially the <br />same form as the copy of such Escrow Agreement accompanying this Resolution. <br />4. The Mayor is authorized to execute the MOU, the Settlement Participation Forms, <br />and the Escrow Agreement on behalf of the City, and the Mayor is hereby further granted authority <br />to negotiate and approve such revisions to said MOU, the Settlement Participation Forms, and the <br />Escrow Agreement as the Mayor determines are necessary or desirable for the protection of the <br />City, so long as the essential terms of such documents are not altered. <br />PASSED AND ADOPTED this 1st day of November, 2021. <br />04 IA�=_ <br />Ashley St ann, Mayor <br />ATTEST: z <br />Meredyth Muth, City Clerk F LCc) <br />of <br />SEAL <br />Series 2021 <br />Resolution No. 77, <br />L000 ..
