SECOND AMENDMENT TO INDEPENDENT CONTRACTOR AGREEMENT FOR TRAFFIC SIGNAL MAINTENANCE SERVICES This SECOND AMENDMENT TO INDEPENDENT CONTRACTOR AGREEMENT ("Second Amendment") is made and entered into this 7 h day of December, 2021, by and between the City of Louisville (the "City") and Lumin8 Transportation Technologies, LLC, d.b.a. W.L. Contractors, LLC ("Contractor") (together, the "Parties"). WHEREAS, the City and Contractor are parties to that certain Independent Contractor Agreement for Traffic Signal Maintenance Services, dated November 27, 2018 (the "Original Agreement"), and that certain First Amendment to Independent Contactor Agreement, dated December 15, 2020 (the "First Amendment", and together with the Original Agreement, the "Agreement"); and WHEREAS, the Agreement is set to expire by its terms on December 31, 2021; and WHEREAS, the parties desire by this Second Amendment to extend the term of the Agreement to December 31, 2022; and NOW THEREFORE, in consideration of the foregoing and the mutual promises contained in the Agreement, the Parties agree as follows: Section 1. The term Agreement is hereby extended by twelve (12) months to December 31, 2022, subject to sooner termination or extension in accordance with Sections 6.1 and 13 of the Original Agreement. This renewal term shall be considered the second of three, twelve (12) month renewal terms authorized under Section 6.1 of the Original Agreement. Section 2. The Original Agreement, as amended by the First Amendment and this Second Amendment, is hereby ratified and confirmed and shall remain in full force and effect and binding upon the Contractor and the City in accordance with its terms.
