WHEREAS, because the Phase 2 alignment has yet to be determined by the Parties and <br />the costs associated with the design and construction of Phase 2 are currently unknown, the <br />proposed First Amendment provides that Phase 2 will not be constructed without further <br />written agreement of the Parties; and <br />WHEREAS, the proposed First Amendment states the Parties' commitment to working <br />together to apply for grant funding (in addition to the State Multimodal Transportation <br />Improvement grant award) to proportionally reduce the Parties' respective contributions for <br />Phase 1, to assist in funding Phase 2, or some combination of both; and <br />WHEREAS, separate from the Project contemplated in the Original Agreement and <br />proposed First Amendment, Boulder County has indicated the desire to construct a trailhead <br />parking expansion north of the existing trailhead parking lot; and <br />WHEREAS, should Boulder County decide to design and construct the parking <br />expansion, the proposed First Amendment provides that Boulder County will do so at its sole <br />expense; and <br />WHEREAS, the City Council desires to approve the First Amendment to 100' Street <br />Connector Trail Intergovernmental Agreement by this Resolution. <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY <br />OF LOUISVILLE, COLORADO: <br />Section 1. The First Amendment to 104t' Street Connector Trail Intergovernmental <br />Agreement ("Amendment") by and among the City of Louisville, City of Lafayette, and Boulder <br />County, a copy of which Amendment accompanies this Resolution, is hereby approved. <br />Section 2. The Mayor and City Clerk are hereby authorized to execute the Amendment, <br />and the Mayor is hereby further authorized to negotiate and approve such revisions to the <br />Amendment as the Mayor determines are necessary or desirable for the protection of the City, so <br />long as the essential terms and conditions of the Amendment are not altered. <br />PASSED AND ADOPTED this 7' day of Ju <br />Resolution No. 26, Series 2022 <br />Page 2of2 <br />
