City Council <br />Meeting Minutes <br />July 26, 2022 <br />Page 4 of 5 <br />Mayor Stolzmann introduced the executive session. She stated Councilmember Leh <br />and herself are is requesting the executive session for the purpose of consultation in the <br />good faith belief that a lawsuit may be brought against the City. Mayor is also requesting <br />the City Council convene an executive session for the purpose of discussing a <br />personnel matter involving an employee directly appointed by the City Council, <br />specifically concerning the City Manager. <br />City Attorney Kelly noted the items to be discussed and the authority under which the <br />Council can go into executive session. <br />City Clerk Muth read Section 2.90.050 of the Louisville Municipal Code, which outlines <br />the topics permitted for discussion in an executive session. <br />City Attorney Kelly stated the authority to conduct this executive session is in the <br />Louisville Home Rule Charter Section 5-2(d) which authorizes an executive session for <br />the purpose of consultation with an attorney to discuss pending litigation or situations <br />where the person believes a lawsuit may result. Authorization is also allowed by the <br />Colorado Open meetings law in C.R.S. 24-6-402(4)(b). <br />City Attorney Kelly stated that for the second item, Section 5-2(b) of the Louisville Home <br />Rule Charter authorizes an executive session for the purpose of discussing a personnel <br />matter involving an employee directly appointed by the City Council. An executive <br />session for this purpose is also authorized by the Open Meetings Law, Section 24-6- <br />402(4)(f) of the Colorado Revised Statutes. <br />City Attorney Kelly noted these are two distinct items that are not related. <br />MOTION: Mayor Stolzmann moved to go into executive session for the purpose of <br />discussing pending litigation and a personnel matter of an employee directly appointed <br />by the City Council, and that the executive session include Acting City Manager Davis, <br />for the pending litigation item and City Attorney Kathleen Kelly for both items. <br />Councilmember Leh seconded the motion. <br />VOTE: Motion passed by unanimous roll call vote. (Councilmember Dickinson absent.) <br />Council adjourned to executive session at 6:42 pm. The Council meeting reconvened at <br />7:40 pm; <br />REPORT — DISCUSSION/DIRECTION/ACTION — PENDING LITIGATION & <br />PERSONNEL MATTER <br />City Attorney Kelly reported the executive session was for the purpose of consultation <br />with the City Attorney regarding pending litigation and discussion of a personnel matter <br />
