INTERGOVERNMENTAL AGREEMENT BETWEEN THE CITY OF LOUISVILLE <br />AND THE CITY OF LAFAYETTE REGARDING THE E-BIKE PILOT PROGRAM <br />THIS AGREEMENT is made and entered into on this 4th day of April , 2023 <br />("Effective Date"), by and between the CITY OF LOUISVILLE ("Louisville"), a Colorado home <br />rule municipal corporation, and CITY OF LAFAYETTE ("Lafayette"), a Colorado home rule <br />municipal corporation, (each a "Party" and collectively the "Parties"). <br />RECITALS <br />WHEREAS, each of the Parties have launched pilot program to promote e-biking as a <br />primary form of transportation within the Louisville and Lafayette communities; and <br />WHEREAS, the pilot programs will offer rebates to participating bike retailers in exchange <br />for the retailers' sale of Class 1 and Class 2 e-bikes to Louisville and Lafayette residents at prices <br />discounted to the amount of the rebate; and <br />WHEREAS, for efficiency's sake, Lafayette is willing to administer Louisville's pilot <br />program in addition to administering its own program; and <br />WHEREAS, C.R.S. § 29-1-201, et seq., authorizes the Parties to cooperate and contract <br />with one another with respect to functions lawfully authorized to each of the Parties; and <br />WHEREAS, the functions described in this Agreement are lawfully authorized to each of <br />the Parties which perform such functions hereunder; and <br />WHEREAS, the Parties desire to enter into an IGA to confirm their intent with respect to <br />the Program. <br />NOW, THEREFORE, in consideration of the mutual covenants and agreements herein <br />contained, the Parties agree as follows: <br />1. Administration of the Program. Louisville hereby authorizes Lafayette to <br />administer the `City of Louisville E-Bike Pilot Program' in accordance with the program <br />guidelines attached hereto and incorporated herein as Exhibit A. For ease of administration, <br />Louisville agrees not to make changes to participating retailers or the dollar amount of any rebate <br />offered under Louisville's program without receiving Lafayette's prior written consent. By May <br />30 of each year of the Term, Louisville will provide Lafayette with a spreadsheet containing <br />information necessary for Lafayette to identify the total maximum dollar amount of rebates <br />available to each participating e-bike retailer within the City of Louisville (e.g., E-Bike Colorado <br />- $10,000). Louisville shall accompany the spreadsheet with a check in the amount of the sum <br />dollar total of all rebates awarded under Louisville's program. Lafayette shall then pay invoices <br />received from e-bike retailers participating in Louisville's program, up to the total amount <br />allocated to the subject retailer on the spreadsheet.
