<br />NOTICE IS HEREBY GIVEN that at a regular meeting of the City
<br />Council of the City of Louisville, Colorado, to be held on October 2
<br />2023 at the hour of 6:00 p.m., at Louisville City Hall, 749 Main Street,
<br />Louisville, Colorado 80027 or in an electronic meeting, the City
<br />Council will hold a Public Hearing on the final passage and adoption
<br />of a proposed AN ORDINANCE AMENDING CHAPTER 220 OF THE
<br />LOUISVILLE MUNICIPAL CODE CONCERNING THE ARTS & CULTURE
<br />ADVISORY BOARD.

<br />AN ORDINANCE AMENDING CHAPTER 220 OF THE LOUISVILLE
<br />MUNICIPAL CODE CONCERNING THE ARTS & CULTURE
<br />ADVISORY BOARD
<br />WHEREAS, the City of Louisville (the "City"), is a Colorado home
<br />rule municipal corporation duly orpanized and existing under laws
<br />of the State of Colorado and the City of Louisville Home Rule Char-
<br />ter (the "City Charter"); and
<br />WHEREAS, by Resolution No. 10, Series 1989, the City Council estab-
<br />lished the Louisville Arts and Humanities Council for the purpose of
<br />advising the Mayor and City Council as to the distribution of a cul-
<br />tural sales tax appropriated to benefit non-profit organizations by
<br />the Boulder County Citizens Cultural Advisory Council; and
<br />WHEREAS, on June 20, 1989, Articles of Incorporation were filed
<br />with the Colorado Secretary of State establishing the Louisville Arts
<br />and Humanities Council as a non-profit corporation, organized and
<br />operated exclusively for charitable and civic purposes, including
<br />the making of distributions to organizations that quality as exempt
<br />organizations under Section 501(c)(3) of the Internal Revenue Code;
<br />and
<br />WHEREAS, on October 6, 2006, Articles of Amendment were filed
<br />with the Colorado Secretary of State changing the entity name to
<br />the Louisville Cultural Council; and
<br />WHEREAS, by Resolution No. 13, Series 1989, and Resolution
<br />No. 29, Series 2010, the City Council made adjustments to the mem-
<br />bership and renamed the Louisville Arts and Humanities Council the
<br />Louisville Cultural Council, reflecting the change to the business
<br />name that had been filed with the Colorado Secretary of State in
<br />2006; and
<br />WHEREAS, on August 22, 2023 Articles of Amendment were filed
<br />with the Colorado Secretary of State changingthe entity name to
<br />Friends of Louisville Arts, Sciences, and Humanities (FLASH); and
<br />WHEREAS, the activities of the non-profit corporation now known
<br />as FLASH are conducted by FLASH's corporate board or directors
<br />and FLASH is no longer affiliated with the City or any of the City's
<br />boards or commissions; and
<br />WHEREAS, subsequent to the creation of the Arts and Humanities
<br />Council in 1989, the City's voters approved the City of Louisville
<br />Home Rule Charter; and
<br />WHEREAS. Section 10-1(a) of the Charter provides the City Council
<br />may, by ordinance, establish, consolidate, or abolish any board or
<br />commission; and
<br />WHEREAS, the CityCouncil by this ordinance desires to change the
<br />name of the Commission to better reflect its current purpose and to
<br />specify the Commission's responsibilities as set forth herein; and
<br />WHEREAS, the Arts & Culture Advisory Board shall continue to op-
<br />erate as an advisory board to the City Council, separate and dis-
<br />tinct from the non-profit corporation now known as Friends of
<br />Louisville Arts, Sciences, and Humanities (FLASH).
<br />NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF
<br />THE CITY OF LOUISVILLE, COLORADO:
<br />Section 1. The Louisville Cultural Council is hereby renamed the
<br />Arts & Culture Advisory Board.
<br />Section 2. Section 2.20.010.6.3 of the Louisville Municipal Code is
<br />hereby amended to read as follows (words to be deleted stricken;
<br />words to be added underlined):
<br />Sec. 220.010 Establishment of boards and commons
<br />B. The following boards, commissions, and committees of the
<br />City are hereby recognized and confirmed:
<br />3. Cultural council Arts & Culture Advisory Board;
<br />Section 3. Chapter 2.20 of the Louisville Municipal Code is hereby
<br />amended by the addition of a new Section 2.20.070 to read as fol-
<br />lows:
<br />Sec. 220.055 Arts & culture advisory board.
<br />A There is created and established the Arts & Culture Advisory
<br />Board for the City.
<br />B. The Board shall consist of members appointed by the City
<br />Council in number and for terms as shall be as set by resolution of
<br />the City Council.
<br />C. The Board shall serve in an advisory capacity to the City Coun-
<br />cil in matters related to the arts and culture. The powers, duties,
<br />and responsibilities of the Board shall be as set forth by City Coun-
<br />cil resolution.
<br />Section 4. If any portion of this ordinance Is held to be invalid for
<br />any reason, such decision shall not affect the validity of the remain-
<br />ing portions of this ordinance. The City Council hereby declares
<br />that it would have passed this ordinance and each part hereof irre-
<br />spective of the fact that any one part be declared invalid.
<br />Section 5. All other ordinances or portions thereof inconsistent or
<br />conflicting with this ordinance or any portion hereof are hereby re-
<br />pealed to the extent of such inconsistency or conflict.
