RESOLUTION NO. 77 SERIES 2023 A RESOLUTION APPROVING AN INTERGOVERNMENTAL AGREEMENT WITH THE TOWN OF ESTES PARK REGARDING THE SHARING OF A LICENSE FOR A PUBLIC WORKS COMPUTERIZED MAINTENANCE MANAGEMENT SERVICE WHEREAS, the City of Louisville ("City" or "Louisville") holds a license from Lucity, Inc. (the "Company") for use of the Company's public works computerized maintenance management service; and WHEREAS, the Company is willing to offer the Town of Estes Park ("Estes Park") sublicense status under Louisville's license; and WHEREAS, there has been prepared an intergovernmental agreement (the "IGA") to set forth Louisville's and Estes Park's respective rights and obligations, including the sharing of costs, with respect to the license; and WHEREAS, by this resolution the City Council desires to approve and authorize the Mayor to execute the IGA. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LOUISVILLE, COLORADO: Section 1. The Intergovernmental Agreement, by and between the City of Louisville and the Town of Estes Park, for the sharing of the City's license to use Lucity, Inc.'s public works computerized maintenance management service (the "IGA"), is hereby approved in essentially the same form as the copy of such IGA that accompanies this resolution. Section 2. The Mayor is hereby authorized to execute the IGA on behalf of the City, and the Mayor is hereby further authorized to negotiate and approve such revisions to the IGA as the Mayor determines are necessary or desirable for the protection of the City, so long as the essential terms and conditions of the IGA are not altered.
