1.0 PARTIES CITY OF LOUISVILLE COLORADO AGREEMENT FOR CUSTODIAL SERVICES November 1, 2009 October 31, 2010 The parties to this Agreement are the City of Louisville, a Colorado home rule municipal corporation, hereinafter referred to as the "City" and ISS Facility Services, hereinafter referred to as the "Contractor 2.0 RECITALS AND PURPOSE 2.1 The City desires to engage the Contractor for the purpose of performing custodial services. 2.2 The Contractor represents that it has the special expertise, qualifications and background necessary to provide the City with these services. 3.0 SCOPE OF SERVICES The Contractor agrees to provide the City with the specific custodial services as set forth herein and described in Exhibit A, General Terms and Conditions; Exhibit B, Master Cleaning Specification; Exhibit C, Area Cleaning Specification; Exhibit D, Floor Cleaning Specification and Exhibit E, Custodial Services Pricing, which Exhibits are attached hereto and incorporated herein by reference (which services are collectively referred to as the "services 4.0 COMPENSATION 4.1 The City shall pay the Contractor for services under this Agreement a total not to exceed the amounts set forth in Exhibit E, attached hereto and incorporated herein by this reference. The foregoing amounts of compensation shall be inclusive of all costs of whatsoever nature associated with the Contractor's efforts, including but not limited to salaries, benefits, expenses, overhead, administration, and profits. The price of any additional custodial services which may be requested by the City and agreed to by the Contractor shall be calculated on the basis of the time and material rate set forth in Exhibit E. No hourly charges shall exceed the hourly rates identified in Exhibit E. Additional Services can only be authorized in writing, by the City Contract Administrator or persons designated in writing by the Contract Administrator. The scope of services and rates and amounts of payment therefor shall only be changed by a properly authorized amendment to this Agreement. No City employee has the authority to bind the City with regard to any payment for any services which exceeds the Pricing Schedule rates and amounts identified in Exhibit E. 1
