9.5 Contractor shall not be responsible for failure to render service due to <br />causes beyond its control, including, but not limited to fires, civil <br />disobedience, riots, vandalism, acts of God and similar occurrences. <br />Service shall be rendered as soon as possible after the cessation of <br />such causes. <br />9.6 Contractor shall comply with all laws, ordinances, codes, and <br />governmental requirements relating to health and safety standards. <br />10.0 SECURITY <br />10.1 All employees of the Contractor who will be on City premises must be <br />bonded before the commencement of Contractor services under this <br />Agreement and must complete with the City's representative a review <br />of the City's rules and regulations regarding the security of City <br />property. <br />10.2 The Contractor shall provide in advance a personnel sheet listing each <br />employee of the Contractor who will have occasion to enter any City <br />building in the performance of the work herein. <br />10.3 During the performance of work herein, the Contractor shall take all <br />reasonable precautions to guard the secrecy of the City's records and <br />information, shall limit access to records and information of the City to <br />authorized employees or agents of the Contractor only, and shall <br />inform all such authorized employees of the confidential nature of <br />records and information of the City and of the applicable laws <br />regarding security of communication. <br />11.0 INDEPENDENT CONTRACTOR <br />The Contractor and any persons employed by Contractor for the <br />performance of work hereunder shall be independent contractors and <br />not agents of the City. Any provisions in this Agreement that may <br />appear to give the City the right to direct Contractor, as to details of <br />doing work or to exercise a measure of control over the work, mean <br />that Contractor shall follow the direction of the City as to end results of <br />the work only. As an independent contractor, Contractor is not <br />entitled to worker's compensation benefits except as may be <br />provided by the independent contractor nor to unemployment <br />insurance benefits unless unemployment compensation coverage <br />is provided by the independent contractor or some other entity. <br />The Contractor is obligated to pay all federal and state income tax <br />on any monies earned or paid pursuant to this Agreement. <br />12.0 ASSIGNMENT <br />6 <br />
