Section 4. Pursuant to Section 31-25-1209(1)(b), C.R.S., the City Council hereby provides for a board of directors for the District which shall have nine members. Each member shall be an elector of the District and shall be appointed by the City Council to serve at its pleasure. The initial board of directors shall be: (a) Ronda Grassi (b) Nancy Love (c) Arlin Lehman (d) Donna Rogers (e) Steve Mesple (f) Erik Hartronft (g) Cheri Ruskus (h) Garrett McCarthy (i) John Hanson Such board of directors shall carry out the responsibilities required of such board by the Business Improvement District Act. Pursuant to Section 31-25-1209(4), C.R.S., the City Council hereby sets the following conditions, limitations, procedures, duties and powers under which the board of directors of the District shall conduct its business: (1) the board of directors shall adopt for the conduct of its business provisions regarding open meetings and executive sessions that are consistent with the provisions of Louisville Municipal Code Chapter 2.90 respecting open meetings and executive sessions of the Louisville City Council; and (2) the board of directors shall adopt for the conduct of its business a code of ethics that is consistent with the provisions of Louisville Code of Ethics for City officers set forth in Louisville Municipal Code Chapter 2.80. However, consistent with Section 31-25-1209(3), C.R.S., a board member shall not be deemed to have a potential conflicting interest under such code of ethics to be adopted by the board of directors by reason of ownership, in and of itself, of any property within the district. The board of directors shall adopt the foregoing provisions and code of ethics within 60 days of its organization. Prior to this ordinance taking effect, the representatives of the petitioner shall execute their agreement that the board will adopt such provisions and code of ethics upon its organization, and such agreement shall be enforceable by the City. Section 5. The Operating Plan and Budget filed with the City Clerk for the approval of the City Council as provided in Section 31-25-1211, C.R.S. is hereby approved. Section 6. The actions of the City Clerk and petitioners in setting and providing public notice of the Public Hearing on the petition and in furtherance of the November 7, 2000 election are hereby ratified and confirmed. Section 7. The initial mill levy of the District shall be determined by the Board of Directors as limited by the authorization provided by a duly held election of the District and the Operating Plan and Budget approved by the City. Section 8. The City Council herewith finds, determines, and declares that this ordinance is necessary for the immediate preservation of the public health and safety in order to facilitate timely
