Licensee agrees to take such actions as necessary to maintain the Improvements <br />in good and safe condition at all times. Licensee further agrees to comply at all times with the <br />ordinances, resolutions, rules, and regulations of the City in Licensee' s use and occupancy of the <br />Premises. If Licensee fails to comply with its obligations under this Agreement, the City may <br />take such measures as it determines necessary to bring the Premises into compliance, and the cost <br />of any such measures shall be paid by the Licensee. <br /> <br /> 8. The City assumes no responsibilities or obligations with regard to the <br />Improvements installed pursuant to this License. As between the City and Licensee, Licensee <br />shall bear the full responsibility for the maintenance and operation of the Improvements installed <br />pursuant to this License. <br /> <br /> 9. Licensee understands that the license granted hereunder is granted subject to prior <br />franchise agreements and subject to all easements and other interests of record applicable to the <br />Premises. Licensee shall be solely responsible for coordinating its activities hereunder with the <br />holders of such franchise agreements or of such easements or other interests of record, and for <br />obtaining any required permission for such activities from such holders if required by the terms <br />of such franchises or easements or other interests. Licensee shall also be solely responsible for <br />coordinating its activities hereunder with any other licensees having permission for the City to <br />use the Premises. <br /> <br /> 10. Licensee agrees to indemnify and hold harmless the City and its officers, agents, <br />and employees from and against all liability, claims, damages, losses, and expenses, including but <br />not limited to, attorneys' fees arising out of, resulting from, or in any way connected with, <br />Licensee's use and occupancy of the Premises, or with this Agreement or the right and <br />obligations of the Licensee hereunder. <br /> <br /> 11. Any notices or communication required or permitted hereunder shall be given in <br />writing and shall be personally delivered, or sent by United States mail, postage prepaid, <br />registered or certified mail, return receipt requested, addressed as follows: <br /> <br />City: Licensee: <br /> <br />City of Louisville <br />City Administrator <br />749 Main Street <br />Louisville, CO 80027 <br /> <br />Wendy Fickbohm <br />1314 Main Street <br />Louisville, CO 80027 <br /> <br />or to such other address or the attention of such other person(s) as hereafter designated in writing <br />by the applicable parties.
