Licensee further agrees to comply at all times with the ordinances, resolutions, rules, and regulations of the City in Licensee' s use and occupancy of the Premises. If Licensee fails to comply with its obligations under this Agreement, the City may take such measures as it determines necessary to bring the Premises into compliance, and the cost of any such measures shall be paid by the Licensee. 8. The City assumes no responsibilities or obligations with regard to the Improvements installed pursuant to this License. As between the City and Licensee, Licensee shall bear the full responsibility for the maintenance and operation of the Improvements installed pursuant to this License. 9. Licensee understands that the license granted hereunder is granted subject to prior franchise agreements and subject to all easements and other interests of record applicable to the Premises. Licensee shall be solely responsible for coordinating its activities hereunder with the holders of such franchise agreements or of such easements or other interests of record, and for obtaining any required permission for such activities from such holders if required by the terms of such franchises or easements or other interests. Licensee shall also be solely responsible for coordinating its activities hereunder with any other licensees having permission for the City to use the Premises. 10. Licensee agrees to indemnify and hold harmless the City and its officers, agents, and employees from and against all liability, claims, damages, losses, and expenses, including but not limited to, attorneys' fees arising out of, resulting from, or in any way connected with, Licensee's use and occupancy of the Premises, or with this Agreement or the right and obligations of the Licensee hereunder. 11. Any notices or communication required or permitted hereunder shall be given in writing and shall be personally delivered, or sent by United States mail, postage prepaid, registered or certified mail, return receipt requested, addressed as follows: City: Licensee: City of Louisville City Administrator 749 Main Street Louisville, CO 80027 Wendy Fickbohm 1314 Main Street Louisville, CO 80027 or to such other address or the attention of such other person(s) as hereafter designated in writing by the applicable parties. Notices shall be effective upon mailing. 12. Waiver by the City of any breach of any term or provision of this Agreement shall not be deemed a waiver of any subsequent breach of the same or any other term or provision thereof. 2
