Unless caused by the negligence or willful and wanton conduct of Licensor, the <br />Licensor shall have no responsibility, liability, or obligation with respect to the safety or security <br />of any personal property of the Licensee placed or located on, at, or in the Premises, it being <br />acknowledged and understood by Licensee that the safety and security of any such property is <br />the sole responsibility and risk of Licensee. <br /> <br /> 8. Any notices or communication required or permitted hereunder shall be given in <br />writing and shall be personally delivered, or sent by United States mail, postage prepaid, <br />registered or certified mail, return receipt requested, addressed as follows: <br /> <br />Licensor: Licensee: <br /> <br />Wendy Fickbohm <br />1314 Main Street <br />Louisville, CO 80027 <br /> <br />City of Louisville <br />City Administrator <br />749 Main Street <br />Louisville, CO 80027 <br /> <br />or to such other address or the attention of such other person(s) as hereafter designated in writing <br />by the applicable parties. Notices shall be effective upon mailing. <br /> <br /> 9. Waiver of any breach of any term or provision of this Agreement shall not be <br />deemed a waiver of any subsequent breach of the same or any other term or provision thereof. <br /> <br /> 10. This Agreement is personal to the parties hereto. The Licensee shall not transfer <br />or assign any rights hereunder without the prior written approval of the Licensor. <br /> <br /> 11. Licensor represents that it has full power and authority to grant to Licensee the <br />license provided for herein. Prior to or at the time of the Licensee's execution hereof, Licensor <br />shall provide to the Licensee the written consent(s) of any mortgagee or lienholder holding an <br />interest in the Premises, consenting to the grant of the license provided for herein. <br /> <br /> 12. In executing this Agreement, the Licensee is relying on and does not waive or <br />intend to waive by any provision of this Agreement the monetary limitations (presently $150,000 <br />per person and $600,000 per occurrence) or any other rights, immunities, and protections <br />provided by the Colorado Governmental Immunity Act, C.R.S. §§ 24-10-101 et seq. <br /> <br /> IN WITNESS WHEREOF, the parties have entered into this Agreement on the date first <br />above written. <br /> <br />2 <br /> <br /> <br />
