RESOLUTION NO. 32 <br />SERIES 2000 <br /> <br />A RESOLUTION APPROVING AN AGREEMENT TO EXCHANGE RECIPROCAL <br /> CONSERVATION EASEMENTS <br /> <br /> WHEREAS, the City of Louisville, City of Lafayette, County of Boulder, and A1 Barakah, <br />L.L.C. are signatories to the Esmail Purchase Agreement ("Purchase Agreement'') approved by <br />Resolution No. 27, Series 2000; and <br /> <br /> WHEREAS, pursuant to the Purchase Agreement, Louisville, Lafayette and Boulder <br />County will purchase from A1 Barakah, L.L.C. certain vacant real estate and water rights defined in <br />the Purchase Agreement as "the Property", for open space purposes; and <br /> <br /> WHEREAS, an agreement has been proposed between Louisville, Lafayette and Boulder <br />County regarding the allocation of the purchase price for the Property, the exchange of reciprocal <br />conservation easements over the Property to be acquired by the Cities and County as tenants in <br />common, and other related matters; and <br /> <br /> WHEREAS, the City Council has determined that the proposed agreement is in the best <br />interests of the City and its citizens. <br /> <br /> NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE <br />CITY OF LOUISVILLE, COLORADO: <br /> <br /> 1. The proposed Agreement to Exchange Reciprocal Conservation Easements among <br />the City of Louisville, City of Lafayette, and the County of Boulder is hereby approved in <br />essentially the same form as the copy of such Agreement accompanying this Resolution (the <br />"Agreement"). <br /> <br /> 2. The Mayor is authorized to execute the Agreement, except that the Mayor is hereby <br />granted the authority to negotiate and approve such revisions to said Agreement as the Mayor <br />determines are necessary or desirable for the protection of the City, so long as the essential terms <br />and conditions of the Agreement are not altered. <br /> <br /> 3. The Mayor, City Administrator and City Staff are further authorized to do all things <br />necessary on behalf of the City to perform the obligations of the City under the Agreement, and to <br />execute and deliver any and all documents necessary to effect the purchase of the Property under <br />the terms and conditions of the Agreement. <br /> <br /> <br />
