RESOLUTION NO. 31 SERIES 2000 A RESOLUTION APPROVING AN AGREEMENT TO EXCHANGE RECIPROCAL CONSERVATION EASEMENTS WHEREAS, the City of Louisville, County of Boulder, and Bowes Properties Limited Partnership are signatories to the Bowes Purchase Agreement, Division of Land contract ("Purchase Contract") approved by Resolution No. 26, Series 2000; and WHEREAS, pursuant to the Purchase Contract, the City and County will purchase from Bowes Properties Limited Partnership certain vacant real estate, water rights, and a conservation easement further defined in the Purchase Contract as "the Property", for open space, conservation, and right-of-way purposes; and WHEREAS, an agreement has been proposed between the City and County regarding the allocation of the purchase price for the Property, the exchange of reciprocal conservation easements over the approximately 66-acre portion of the Property together with water rights to be acquired by the City and County as tenants in common, and other related matters; and WHEREAS, the City Council has determined that the proposed agreement is in the best interests of the City and its citizens. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LOUISVILLE, COLORADO: 1. The proposed Agreement to Exchange Reciprocal Conservation Easements between the City of Louisville and the County of Boulder is hereby approved in essentially the same form as the copy of such Agreement accompanying this Resolution (the "Agreement"). 2. The Mayor is authorized to execute the Agreement, except that the Mayor is hereby granted the authority to negotiate and approve such revisions to said Agreement as the Mayor determines are necessary or desirable for the protection of the City, so long as the essential terms and conditions of the Agreement are not altered. 3. The Mayor, City Administrator and City Staff are further authorized to do all things necessary on behalf of the City to perform the obligations of the City under the Agreement, and to execute and deliver any and all documents necessary to effect the purchase of the Property under the terms and conditions of the Agreement.
