RESOLUTION NO. 31 <br />SERIES 2000 <br /> <br />A RESOLUTION APPROVING AN AGREEMENT TO EXCHANGE RECIPROCAL <br /> CONSERVATION EASEMENTS <br /> <br /> WHEREAS, the City of Louisville, County of Boulder, and Bowes Properties Limited <br />Partnership are signatories to the Bowes Purchase Agreement, Division of Land contract <br />("Purchase Contract") approved by Resolution No. 26, Series 2000; and <br /> <br /> WHEREAS, pursuant to the Purchase Contract, the City and County will purchase from <br />Bowes Properties Limited Partnership certain vacant real estate, water rights, and a conservation <br />easement further defined in the Purchase Contract as "the Property", for open space, conservation, <br />and right-of-way purposes; and <br /> <br /> WHEREAS, an agreement has been proposed between the City and County regarding the <br />allocation of the purchase price for the Property, the exchange of reciprocal conservation <br />easements over the approximately 66-acre portion of the Property together with water rights to <br />be acquired by the City and County as tenants in common, and other related matters; and <br /> <br /> WHEREAS, the City Council has determined that the proposed agreement is in the best <br />interests of the City and its citizens. <br /> <br /> NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY <br />OF LOUISVILLE, COLORADO: <br /> <br /> 1. The proposed Agreement to Exchange Reciprocal Conservation Easements between <br />the City of Louisville and the County of Boulder is hereby approved in essentially the same form <br />as the copy of such Agreement accompanying this Resolution (the "Agreement"). <br /> <br /> 2. The Mayor is authorized to execute the Agreement, except that the Mayor is <br />hereby granted the authority to negotiate and approve such revisions to said Agreement as the <br />Mayor determines are necessary or desirable for the protection of the City, so long as the <br />essential terms and conditions of the Agreement are not altered. <br /> <br /> 3. The Mayor, City Administrator and City Staff are further authorized to do all <br />things necessary on behalf of the City to perform the obligations of the City under the <br />Agreement, and to execute and deliver any and all documents necessary to effect the purchase <br />of the Property under the terms and conditions of the Agreement. <br /> <br />PASSED AND ADOPTED this ~ tad- day of DO_~ t./t ,2000. <br />! <br /> <br /> <br />
