1.1.1. "Board" shall mean the Board of Directors of the Subdistrict. <br /> <br />1.1.2. <br /> <br />"Firming Project" shall mean a water storage project being developed by the Windy <br />Gap Firming Project Water Activity Enterprise ("WGF Enterprise") for the purpose <br />of storing water produced by the Windy Gap Project pursuant to agreements with <br />participants. <br /> <br />1.1.3. "NCWCD" means the Northern Colorado Water Conservancy District. <br /> <br />1.1.4. <br /> <br />"Superior's Existing Allotment Contract" shall mean Superior's water allotment <br />contracts with the Subdistrict for thirty-five (35) units of Windy Gap Water, <br />approved by the Subdistrict by Order dated April 1, 1988 and related documents, <br />copies of which are attached hereto as Exhibit A and incorporated by this reference. <br /> <br />1.1.5. "Subdistrict" shall mean the Municipal Subdistrict of the Northern Colorado Water <br /> Conservancy District, a political subdivision of the State of Colorado. <br /> <br />1.1.6. "Subdistrict Water" shall mean the same as "Windy Gap Water", defined below. <br /> <br />1.1.7. <br /> <br />"Six Units" shall mean six units out of the thirty-five Units of Windy Gap Water <br />which were originally allotted to Superior under Superior's Existing Allotment <br />Contract, which six units Louisville will purchase from Superior. Louisville's <br />ownership of the Six Units shall also include the following: <br /> <br />(a) All rights, privileges, credits, and benefits attributable to the Six Units; <br /> <br />(b) A prorated share of all of Superior's interests in all amounts, monies, proceeds, <br /> funds, and assets held or owned by or for the benefit of the Subdistrict, including <br /> but not limited to, capital assets of the Windy Gap Project, surplus construction <br /> funds for the Windy Gap Project and funds on deposit in the Debt Service <br /> Reserve Fund, the Debt Service Fund, the Operation and Maintenance Fund, and <br /> any other funds established for the Windy Gap Project by the Subdistrict; and <br /> <br />(c) Superior's allocation in the Firming Project associated with such Six Units. <br /> <br />1.1.8 "Unit" shall mean 1/480ths of the water supply of the Subdistrict. <br /> <br />1.1.9 "Water Year" shall mean the period from November 1 of one calendar year through <br /> October 31 of the next succeeding calendar year. <br /> <br />1.1.10 "Windy Gap Water" shall mean the quantity of water acquired and obtained by the <br /> Subdistrict from the development and construction of the Windy Gap Project <br /> <br />2 <br /> <br /> <br />
