SALE AGREEMENT <br /> THIS AGREE[4ENT, made and entered into this day of <br /> April, 1979, by and between Howard Disler and Joan Shelly, parties <br /> of the first part, hereinafter referred to as 'Sellers" and the <br /> City of Louisville, party of the second part, a Colorado municipal <br /> corporation, hereinafter referred to as 'Purchaser", <br /> WITNESSIITUI <br /> WHIERZAS, Sellers are the owners of fifteen (15) :hems of <br /> capital stock of the Lerner Cottonwood Consolidated Ditch Co., a <br /> mutual ditch company organised under the laws of the State of <br /> Colorado, and <br /> WHEREAS, each of the 4,264 shares outstanding in said company <br /> represents a proportionate interest in the following water rights <br /> priorities decreed in the name of said company: <br /> Data Amount Use <br /> April 1, 1865 30.00 cfs Irrigation <br /> April 1, 1866 15.58 cfs Irrigation <br /> October 1, 1870 21.14 cfs Irrigation <br /> WHEREAS, Sellers desire to sell said shares, and <br /> WHEREAS, Purchaser desires to purchase said shares for the <br /> purpose of using the water derived therefrom in its municipal water <br /> utility system, <br /> NOW, THEREFORE, for and in consideration of the premises and <br /> the mutual promises hereinafter contained, the parties hereto agree <br /> as follows: <br /> 1. Sellers agree to sell and Purchaser agrees to purchase, <br /> free and clear of liens, taxes, assessments, and encumbrances and <br /> subject to the conditions hereinafter set forth, fifteen (1S) shares of <br /> stock in the Lerner Cottonwood Ditch, said water right being represented <br /> by stock certificate No. 593, dated March 2, 1979. <br /> 2. The total purchase price shall be Seven Thousand, Five <br /> Hundred Dollars ($7,500.00) payable by a check drawn on the account <br /> of the Purchaser at the time of closing. <br />
