The total purchase price shall be One Hundred and Thirty- <br /> Seven Thousand Dollars ($137,000.00) , payable by check drawn on <br /> the account of the Purchaser at the time of closing. <br /> 3. Seller warrants that he has good and sufficient title <br /> to the subject water rights, has the right and privilege to sell <br /> the same, and that all current assessments are paid. <br /> 4. Seller warrants that there are no liens against the <br /> water rights sought to be conveyed herein. <br /> S. Purchaser agrees to pay the stock transfer fees to the <br /> Leyner Cottonwood Consolidated Ditch Co. and the Farmers Reservoir <br /> and Irrigation Company. <br /> 6. Seller agrees to remove from irrigation all lands <br /> historically irrigated by the subject water rights and to furnish <br /> to Purchaser, prior to closing, legal descriptions of such lands <br /> satisfactory to Purchaser's attorney, which descriptions will be <br /> attached to this agreement and become a part hereof. <br /> 7. Seller also agrees to furnish to Purchaser evidence <br /> satisfactory to Purchaser's attorney that proper notice of any <br /> preemptive right to purchase the subject water rights has been <br /> given and the appropriate time periods have elapsed. <br /> 8. Closing shall be held at a mutually agreeable time <br /> and place not later than June 1, 1979. At closing Seller shall <br /> deliver to Purchaser properly endorsed stock certificates in <br /> both companies. <br /> 9. It is mutually understood that J. L. Sears and Associates <br /> of 140 Denver Avenue, Fort Lupton, Colorado 80621 will act as <br /> broker for Seller. <br /> 10. The benefits of this agreement and the burdens hereunder <br /> shall respectively inure to and be binding upon the heirs, - <br /> successors, assigns, and personal representatives of the parties <br /> hereto. <br /> 11. No amendment or modification of this agreement shall be <br /> of any force or effect unless in writing and executed by the <br /> parties hereto. <br /> -2- <br />
