' : w 2. The total purchase price shall be One Hundred and Thirty- Seven Thousand Dollars ($137,000.00) , payable by check drawn on the account of the Purchaser at the time of closing. 3. Seller warrants that he has good and sufficient title to the subject water rights, has the right and privilege to sell the same, and that all current assessments are paid. 4. Seller warrants that there are no liens against the water rights sought to be conveyed herein. S. Purchaser agrees to pay the stock transfer fees to the Leyner Cottonwood Consolidated Ditch Co. and the Farmers Reservoir and Irrigation Company. 6. Seller agrees to remove from irrigation all lands historically irrigated by the subject water rights and to furnish to Purchaser, prior to closing, legal descriptions of such lands satisfactory to Purchaser's attorney, which descriptions will be attached to this agreement and become a part hereof. 7. Seller also agrees to furnish to Purchaser evidence satisfactory to Purchaser's attorney that proper notice of any preemptive right to purchase the subject water rights has been given and the appropriate time periods have elapsed. 8. Closing shall be held at a mutually agreeable time and place not later than June 1, 1979. At closing Seller shall deliver to Purchaser properly endorsed stock certificates in both companies. 9. It is mutually understood that J. L. Sears and Associates of 140 Denver Avenue, Fort Lupton, Colorado 80621 will act as broker for Seller. 10. The benefits of this agreement and the burdens hereunder shall respectively inure to and be binding upon the heirs, - successors, assigns, and personal representatives of the parties hereto. 11. No amendment or modification of this agreement shall be of any force or effect unless in writing and executed by the parties hereto. -2-
