<br />WHEREAS, the Corporation has requested the City to make <br />a loan to the Corporation to finance the cost of the Project, <br />to pay expenses of issuing the Bonds, to make an initial <br />deposit into the Debt Reserve Fund (as defined in the <br />Aqreements, as defined belo~), and to pay certain costs of <br />issuance with respect to the Bonds and, to fund such loan, <br />the City has agreed to i..ue itl Citr ot Louisville, Colorado <br />Revenue Bonds (Boulder Memorial Hosp tal Project) Series 1989 <br />in the aggregate principal amount of $18,000,000 (the . <br />IlBonds"); and <br />WHEREAS, the ilsuance ot the Bonds or the Citr to <br />finance the cost of the Project will enab e or a.. .t the <br />Corporation to fultill its obliqations to provide health <br />facilitiel; and <br />WHEREAS, Section l47(f) of the Internal Revenue Code of <br />1986, as amended (the "Code"), require. that the Bond. and <br />the Project be approved by the "applicable elected <br />representativell (the I/A!:R.II) after a public hearing- following- <br />reasonable public notice; and <br />WHEREAS, with rel~ect to Bonds i.sued by the City, the <br />A!R 11 the Citr Counc1 i and <br />WHEREAS, not1ce of a public hearing to be held by the <br />City with respect to the Bondi on the date at tinal adoption <br />at this Ordinance wa. publilhed no le'l than 14 day. before <br />such date in a newlpaper ot qeneral circulation available to <br />re.idents within the City; and <br />WHEREAS, the Citr Council Ihall have held such public <br />hearing on the date and at the time and place .et out in .uch <br />pub111hed notioe, and ahall have conducted luch hear1nq in a <br />manner that provided a reasonable opportunity for per.on. <br />with differing view. on the i..uance ot the Bonda and on the <br />location and nature of the Project to be h.ard; and <br />WHEREAS, there 1s on tile with the City Clerk of the <br />City (a) the propoled forml of (i) Mortgage and Loan <br />Agreement dated al of March 1, 1989, between the City and the <br />Corporation (the "Boulder Aqreement"); (2) the Mort<iaye and <br />Loan Agreement dated a. ot March 1, 1989, among the C ty, the <br />Corporation, and Porter Memorial Hoapital (the "Porter <br />Aqr.ement")i (3) the Mort!age and Loan Ag-reement dated al of <br />March 1, 1989 among the C tI' the Corporation, and Briqhton <br />Community Hospital AIsociat on d/b/a Platte Valley Medical <br />Center (the IlBrighton Aqreament") (the Boulder Agreement, the <br />Porter Aqreement and the Briqhton Agreement beinq, <br />colleotively, the IlAgreements"); (4) the Indenture of 'l'rult <br />-2- <br />
