<br />Section 12.3 In the event of a vacancy in the office of <br />Vice-Chair, Secretary or Treasurer, the Board shall <br />appoint another Board member to fill the unexpired <br />term of the respective office. <br /> <br />Section 12.4 All vacancies filled by the Chair are <br />subject to approval of the Board. <br />ARTICLE 13 <br /> <br />QUORUM <br /> <br />Section 13.1 The presence of a majority of elected <br />members at any Board meeting shall constitute a <br />quorum. <br /> <br />Section 13.2 The members present at any SENIORS <br />OF LOUISVILLE Membership meeting shall <br />constitute a quorum. <br /> <br />ARTICLE 14 <br /> <br />ELECTIONS <br /> <br />Section 14.1 The Chair shall appoint a nominating <br />committee in July, which shall nominate the <br />candidates for election to the Board. The committee <br />shall be made up of three non board members selected <br />from the Membership. The committee shall report the <br />names of the candidates to the Board at the Annual <br />Board meeting. <br /> <br />Section 14.2 The election of the Board shall be by <br />ballot by those present and qualified to vote at the <br />Annual Meeting. A plurality vote shall be necessary to <br />elect. A voice vote may be taken when the number of <br />nominees is equal to or less than the number of <br />existing vacancies. <br /> <br />Section 14.3 Members elected shall take office the <br />first day of January and serve terms as stated in <br />Article 7. Election of officers shall take place at the <br />first Board meeting in January. <br /> <br />ARTICLE 15 <br /> <br />STANDING COMMITTEES <br /> <br />Section 15.1 The following standing committees shall <br />be established: <br /> <br />15.1.1 Addressing Basic Needs. <br /> <br />PDF created with pdfFactory trial version www.pdffactorv.com <br /> <br />15.1.2 Maximizing Independence and <br />Supporting Caregivers. <br />15.1.3 Promoting Social and Civic <br />Engagement. <br />15.1.4 Optrnizing Physical and Mental <br />Health and Well-Being. <br /> <br />Section 15.2 These committees shall be appointed <br />annually by the Chair and serve one calendar year. <br /> <br />ARTICLE 16 <br /> <br />MONEY <br /> <br />Section 16.1 The SENIORS OF LOUISVILLE shall <br />have its own treasury. All monies of the organization <br />shall be deposited in the account of SENIORS OF <br />LOUISVILLE at a bank designated by the Board. <br />Both the Chair and the Treasurer shall have signatory <br />rights on the accounts. <br /> <br />Section 16.2 Amounts of more than $50.00 per item <br />may not be expended without Board approval. <br /> <br />Section 16.3 A three-member committee, one from <br />the Board and two from the Membership, shall be <br />appointed by the Chair in January to perform an <br />annual audit of the financial matters of the <br />organization. The results of the audit shall be <br />presented to the Board at the February meeting. <br /> <br />ARTICLE 17 <br /> <br />PARLIAMENTARY PROCEDURES <br /> <br />Section 17.1 Robert's Rules of Order, as revised, shall <br />govern the Board and SENIORS OF LOUISVILLE <br />Membership meetings. <br /> <br />ARTICLE 18 <br /> <br />AMENDMENTS <br /> <br />Section 17.1 The Board may amend the <br />ConstitutionlBylaws by an affirmative vote of six <br />members of the Board. <br /> <br />Section 17.2 No amendment shall be put to vote <br />unless notice stating the purpose of the amendment <br />has been given to the Board members two weeks prior <br />to the meeting at which the amendment will be voted <br />upon. <br /> <br />3 <br />
