<br />by WGP. <br /> <br />(c) Make recommendations to City from time to time concerning non-capital repairs, <br />improvements, alterations or modifications to the Golf Course. Following City's approval <br />of such, WGP shall negotiate, execute and supervise at its sole expense all necessary <br />agreements related to such non-capital repairs, improvements, alterations or modifications <br />and shall supervise and coordinate, at WGP's expense, their completion in a timely and <br />efficient manner in accordance with all Legal Requirements. <br /> <br />(d) Obtain and maintain in full force and effect all insurance required to be maintained in <br />accordance with this Agreement. <br /> <br />(e) Supervise the sales and marketing, advertising, promotion and publicity relating to the <br />Golf Course. <br /> <br />(f) Maintain in full force and effect all Operating Contracts necessary for the ongoing <br />management, maintenance and operation of the Golf Course in accordance with this <br />Agreement. <br /> <br />(g) Select and supervise Golf Course Personnel, with Key Employees subject to City's <br />approval as provided herein. <br /> <br />(h) Set green fee, golf cart fee and range fee schedules for the Golf Course, subject to prior <br />approval of the City, provided that the City shall approve fee proposals ofWGP which are <br />comparable to those fees charged by similar competing facilities. <br /> <br />(i) Supervise and provide for the management of play on the Golf Course and the operation <br />of the golf shop. <br /> <br />(j) Supervise and provide for the management and operation of food and beverage facilities, <br />including without limitation operation of such food and beverage operations in compliance <br />with all Legal Requirements. It shall be cause for termination of this Agreement by the <br />City if the food service or liquor license for the Golf Course is revoked, suspended or <br />subjected to any other adverse action by state or local licensing authorities as a result of <br />any act or omission ofWGP, its officers, agents or employees. <br /> <br />(k) Supervise and provide for the physical maintenance of the Golf Course. <br /> <br />(1) Pursuant to Section 4.03, Submit to the City proposals for capital improvements to <br />modify, expand or improve the Golf Course. <br /> <br />(m) Make and supervise capital expenditures of the Golf Course including the procurement of <br />the maintenance equipment, golf carts and similar expenditures. <br /> <br />(n) IIold regular meetings with representatives of the City to review the operation of the Golf <br />Course, including representatives of an advisory body appointed by the City Council for <br />the purpose of providing advice to the City Council on Golf Course related issues. <br /> <br />(0) Prepare and submit annual operating and capital budgets for approval by September 1 st of <br />each Year. <br /> <br />(p) Subject to applicable agreements and City requirements, procure or purchase and <br /> <br />6 <br /> <br />Initials: ~ <br />
