THIS AGREEMENT is made and entered into this day <br />of , 2001, by and between the COUNTY OF <br />BOULDER, a body corporate and politic, (hereinafter referred to <br />individually as the ~County"), the CITY OF LOUISVILLE, a <br />municipal corporation (hereinafter referred to individually as <br />~Louisville~), the CITY OF LAFAYETTE, a Colorado home rule <br />municipal corporation (hereinafter referred to individually as <br />~Lafayette'~), and FINGRU AG, INC., a Swiss corporation, <br />hereinafter referred to as the ~'Seller''. The County, Louisville <br />and Lafayette shall be referred to collectively as ~Purchaser~ or <br />the '~Purchasers~. <br /> <br />RECITALS <br /> <br /> A. The Purchasers desire to purchase from Seller and <br />Seller desires to sell to the Purchasers the certain real <br />property within the County of Boulder, State of Colorado, <br />consisting of approximately 55.34 acres, hereinafter referred to <br />as the "Property", the legal description of which is set forth in <br />Exhibit A attached hereto and by this reference made a part of <br />this Agreement. <br /> <br />AGREEMENT <br /> <br /> NOW, THEREFORE, in consideration of the recitals, promises, <br />payments, covenants and undertakings hereinafter set forth, and <br />other good and valuable consideration, which is hereby acknowledged <br />and receipted for, the Purchasers and Seller agree as follows: <br /> <br />PURCHASE PROVISIONS <br /> <br />In consideration of the payment of TEN THOUSAND DOLLARS <br />($10,000.00) as Earnest Money, Seller hereby agrees to sell <br />and the Purchasers hereby agree to purchase the Property. <br />Seller shall provide to Purchasers copies of any available <br />engineering and/or survey work of the Property. If none is <br />available, or acceptable to the Purchasers, Purchasers shall <br />at their sole expense contract for an ALTA engineering survey <br />of the Property, sufficient to satisfy the requirements of the <br />title company to delete the standard pre-printed exceptions <br />from the Purchasers' title policy, as set forth in Paragraph 4 <br />below. Said survey shall be certified to the Purchasers and <br />the title company and the legal description for the Property <br />shall be furnished to Seller on or before the closing of the <br /> <br />FINGRU PURCHASE AGREEMENT <br /> <br /> <br />
