THIS AMENDMENT CONTAINS <br />RESTRICTIONS ON THE USE AND DEVELOPMENT OF THE PROPERTY <br />WHICH ARE INTENDED TO PROTECT ITS OPEN SPACE VALUES. The City of Louisville, a municipal corporation duly organized and existing under and <br />by virtue of the laws of the State of Colorado (the "City") and the County of Boulder, a <br />body corporate and politic (the "County") each own a 50% undivided interest in fee <br />simple title to that specific parcel of real property located in Boulder County, Colorado, <br />legally, described on Exhibit A attached hereto and incorporated herein by this reference <br />(the "Property"). <br /> <br />B. The Property is subject to reciprocal conservation easements from the City to County <br />and the County to City recorded August 18, 1999 at respectively Reception Nos. 1972589 <br />and 1972588, Boulder County records (the "Conservation Easements"). <br /> <br />C. City and County have received a grant from the State Board of the Great Outdoors <br />Colorado Trust Fund (the "Board"), and desire to amend the Conservation Easements to <br />incorporate certain provisions required by the Board and to preserve for scenic, open <br />space, agricultural, passive recreational and environmental uses, the natural condition and <br />aesthetic and ecological features (collectively the "Conservation Values") of the Property. <br /> <br />D. This Amendment is to the Conservation Easement from the County to the City <br />recorded at Reception No. 1972588. For purposes of this amendment, Grantor shall refer <br />to the County and Grantee shall refer to the City. The parties are also executing this day <br />an amendment to the conservation easement recorded at Reception No. 1972589. <br /> <br />AGREEMENT <br /> <br /> NOW, THEREFORE, for good and valuable consideration, the receipt and <br />sufficiency of which is acknowledged by the parties, City and County hereby amend the <br />Conservation Easement in Gross recorded on August 18, 1999 at Reception No. 1972588 <br />as follows: <br /> <br /> <br />
