6. INSPECTION PERIOD <br /> <br /> Purchaser shall have until 5:00 p.m. (local Denver time) on the date which is sixty (60) <br />calendar days from the date of mutual execution of this Agreement (the "Inspection Period") to <br />determine whether the Property, in Purchaser's sole discretion, is suitable for development and <br />acquisition pursuant to this Agreement. The date of mutual execution of this Agreement shall be the <br />last date on which a party hereto has executed this Agreement, as set forth adjacent to its signature <br /> <br />below. <br /> (a) During the Inspection Period and during all times this Agreement remains in <br />effect, Purchaser or its agents, representatives or consultants may, at the sole risk, cost and expense <br />of Purchaser, enter upon the Property for purposes of soil analysis, core drilling, environmental <br />testing or other non-destructive investigations and inspections that may reasonably be deemed <br />necessary by Purchaser, and Purchaser shall provide Seller copies, without charge, of the results of <br />all such tests should Seller so request. Purchaser shall comply with all applicable laws, rules and <br />regulations in connection with its inspections and/or investigations of the Property and all matters <br />related thereto. <br /> (b) Any and all costs and expenses arising out of or connected with Purchaser's <br /> inspection/investigation of the Property and all matters related thereto shall be borne by Purchaser. <br /> Purchaser shall restore the Property to its original condition (or as close thereto as is reasonably <br /> possible) subsequent to the completion of all of Purchaser's investigations or inspections of the <br /> Property or upon the conclusion of the Inspection Period, whichever shall first occur. <br /> (c) Purchaser shall indemnify and hold Seller harmless against actual physical <br /> damage to the Property and liability for mechanic's liens arising out of or in connection with <br /> Purchasers inspections and investigations of the Property and ali matters related thereto. In no event <br /> shall Purchaser be liable to Seller for any consequential or other damages arising out of or in <br /> connection with Purchasers inspections and investigations of the Property. It is expressly agreed that <br /> the foregoing indemnity shall be deemed to survive the Closing or the termination of this Agreement. <br /> (d) Seller shall promptly provide Purchaser with copies of reports, surveys, <br /> geotechnical studies, title information and other data, if any, from its files that Purchaser reasonably <br /> requests to assist its evaluation of the Property during the Inspection Period; provided, however, that <br /> <br /> -6- <br />H:kD\WI~ I \i 0234L093~A-6P&ISLouimilic.vq~d <br /> <br /> <br />
