Exhibit A <br /> Personal Guarantee to Business Assistance Agreement, <br /> 701 Main Street, Louisville, CO 80027 <br /> As a material inducement to City to enter into the Business Assistance Agreement <br /> dated the ZS' day of �04•7 2010 (the "Agreement between the CITY OF <br /> LOUISVILLE, COLORADO, a Colorado home rule municipal corporation "City and, <br /> Main Street Drink and Dine LLC a Colorado limited liability company, <br /> e "Guarantor hereby unconditionally and irrevocably <br /> guarantees the complete and timely payment of all financial and monetary obligations of <br /> Main Street Drink and Dine LLC under the Agreement and any renewals of and <br /> amendments to the Agreement. The Guarantee is an absolute rim <br /> general guarantee of payment and performance and is independent of City's t obligations <br /> under the Agreement. Guarantor waives any right to require City to (a) join Main Street <br /> Drink and Dine LLC with Guarantor in any suit arising under the Guarantee, (b) proceed <br /> against or exhaust any security given to secure City's obligations under the Lease, or (c) <br /> pursue or exhaust any other remedy in City's power. City may, without notice or demand <br /> and without affecting Guarantor's liability hereunder, from time to time, compromise, <br /> extend or otherwise modify any or all of the terms of the Agreement. Guarantor hereby <br /> waives all demands for performance, notices of performance, and notices of acceptance <br /> of the Guarantee. The liability of Guarantor under this Guarantee will not be affected by <br /> (i) the release or discharge of Lessee from, or impairment, limitation or modification of <br /> City's obligations under the Agreement in any bankruptcy, receivership, or other debtor <br /> relief proceeding, whether state or federal and whether voluntary or involuntary; (ii) the <br /> rejection of the Agreement in any such proceeding; or iii the cessation from any cause <br /> whatsoever of the liability of City under the Agreement. <br /> GUARANTOR: <br />
