Exhibit A Personal Guarantee to Business Assistance Agreement, 701 Main Street, Louisville, CO 80027 As a material inducement to City to enter into the Business Assistance Agreement dated the ZS' day of �04•7 2010 (the "Agreement between the CITY OF LOUISVILLE, COLORADO, a Colorado home rule municipal corporation "City and, Main Street Drink and Dine LLC a Colorado limited liability company, e "Guarantor hereby unconditionally and irrevocably guarantees the complete and timely payment of all financial and monetary obligations of Main Street Drink and Dine LLC under the Agreement and any renewals of and amendments to the Agreement. The Guarantee is an absolute rim general guarantee of payment and performance and is independent of City's t obligations under the Agreement. Guarantor waives any right to require City to (a) join Main Street Drink and Dine LLC with Guarantor in any suit arising under the Guarantee, (b) proceed against or exhaust any security given to secure City's obligations under the Lease, or (c) pursue or exhaust any other remedy in City's power. City may, without notice or demand and without affecting Guarantor's liability hereunder, from time to time, compromise, extend or otherwise modify any or all of the terms of the Agreement. Guarantor hereby waives all demands for performance, notices of performance, and notices of acceptance of the Guarantee. The liability of Guarantor under this Guarantee will not be affected by (i) the release or discharge of Lessee from, or impairment, limitation or modification of City's obligations under the Agreement in any bankruptcy, receivership, or other debtor relief proceeding, whether state or federal and whether voluntary or involuntary; (ii) the rejection of the Agreement in any such proceeding; or iii the cessation from any cause whatsoever of the liability of City under the Agreement.
