City Fiber & Conduit. <br />(a) As additional consideration to the City for the License granted hereunder to <br />Licensee, Licensee agrees to construct, install, and dedicate to the City for municipal purposes (the <br />"City Project"): <br />(i) Approximately one (1) mile of City Fiber at the location(s) <br />described and depicted on Exhibit B, attached hereto and incorporated herein by this reference; <br />(ii) Approximately four and one half (4.5) miles of Shared Fiber at the <br />location(s) described and depicted on Exhibit B. <br />(iii) Approximately one (1) and three -tenths (3/10) of one mile (1.3 <br />miles) of City Conduit, with handholes at the locations described and depicted on Exhibit B. <br />(b) All Fiber installed as part of the City Project must be six (6) strand, single <br />mode, dark fiber capable of achieving ten (10) gigabits per second (Gbps) connection speeds unless <br />a different specification and/or performance standard is approved in writing by the City Manager <br />in advance of the subject installation. <br />(c) All City Fiber and Shared Fiber shall be installed within Licensee Facilities, <br />unless otherwise stated in this Agreement, including subsection (d) below, or an exhibit hereto, <br />and shall be operated and maintained by Licensee in accordance with Exhibit B, attached hereto <br />and incorporated herein by this reference. <br />(d) The City Conduit and City Fiber installed within such City Conduit shall be <br />dedicated to the City for the City's exclusive use upon construction completion, by bill of sale or <br />other written instrument acceptable to the City, and upon the City's written acceptance of the same, <br />the City shall own and be responsible for maintenance of such City Conduit and all City Fiber <br />installed within such conduit. <br />(e) Licensee shall perform its obligations under this Section in accordance with <br />Article VII hereof and the terms and conditions of any applicable permits. The parties shall <br />cooperate in good faith to develop a timeline for completion of the City Project by no later than <br />December 31, 2026, unless the City agrees in writing to extend such completion deadline. <br />ARTICLE V - OCCUPATION TAX & E911 SURCHARGES <br />1.
