BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF LOUISVILLE, COLORADO: Sect ion l. Approval s and Authorizations. The forms 0 f the Loan Agreement, the Deed of Trust, and the Guaranty Agreement are hereby approved. The Ma yor and the City CI e r k are hereby author ized and directed to execute the Loan Agreemen t and affix the seal of the Is suer there to , and fur ther to execute and authenticate such other documents, instruments or certificates as are deemed necessary or desirable by bond counsel and Is s ue r ' s attorney in order to is s ue and se cur e the Bo nd . Such documents are to be executed in substantially the form hereinabove approved, provided that such doc ume n ts may be completed, corrected or revised as deemed necessary by the parties there to in ordec to carry out the purposes of this Bond Ordinance. Copies of all of the documents shall be delivered, filed and recorded as provided therein. The pr 0 pe r officers of the Issuer are he r e by author ized and direc ted to prepare and f ur n ish to bond co unsel certified copies of all proceed i ng s and records of the Is sue r rel a ting to the Bond and such other affidavits and certificates as may be required to show the fac ts reI a ting to the author iza tion and iss uance - thereo f as such facts a p pe ar from the boo ks and records in such officers' cus tody and con trol or as o therwi se known to them. The approval hereby given to the var ious documents referred to above incl udes an approval of such addi tional de ta i1 s therein as may be necessary and appropr ia te for the ir completion, incl uding interest rate s and any numbers derived therefrom, and such modi fica tions thereto, del e tio ns therefrom and addi tions there to as may be a-pproved by bond counsel and Issuer's at t-orney pr ior to the execution of the documents. The execution of any instrument by the appropr ia te officers of the Is suer here in author ized shall be conclusive evidence of the approval by the Iss uer of such instrument in accordance with the terms hereof.
