<br /> (FORt1 OF BOND) <br /> UNITED STATES OF AMERICA <br /> STATE OF COLORADO <br /> COUNTY OF BOULDER <br /> ~ <br /> CITY OF LOUISVI LLE <br /> INDUSTRIAL DEVELOPMENT REVENUE BOND <br /> (KLISTER PROPERTIES PROJECT) <br /> SERIES 1985 <br /> The City of Louisville, Colorado, a pol i tical <br /> s ubd ivis ion of the Sta te of Colorado (the "Issuer"), for val ue <br /> r ece ived , hereby promises to pay to First Na tional Bank in <br /> BOulder, in Bo ul der Color ado, or its registered assigns (the <br /> "Lender") , from the source and in the manner hereinafter prov ided, <br /> the pr inc ipal sum of ONE MILLION TWO HUN DRED THOUSAND DOLLARS <br /> ($1,200,000), or so much thereof as remains un pa id from time to <br /> time (the II Pr incipal Balance") , with interest thereon from the <br /> da te o"f issuance and delivery hereof to the purchaser a tar a te 0 f <br /> ten percen t (10.00%) per annum (which interest rate is subject to <br /> adj ustrnent in the event of a De termina tion of Taxab il i ty as <br /> hereinafter prov ided) , all in teres t computed on the basis of the <br /> ac t ual number of days el apsed within a mo n th of thir ty ( 30) days <br /> and over a year of three hundred and sixty (360) days, in any coin <br /> or currency which at the time or times of payment is legal tender <br /> for the payment of public or pr ivate debts in the Un i ted S ta tes 0 f <br /> America. This Bond shall be amor ti zed and paid in mo n t hl y <br /> ins t all me n t s (which installmen ts are subject to adj us tme!1 t in the <br /> event of a De termina tion of Taxab il i ty as hereinafter prov ided) , <br /> payable on the first day of each mon th, commenc i ng 1, <br /> 1985, and con tinuing through 1, 2000, or such earlier <br /> date as the Pr inc i pal Bal ance hereof with interest thereon shall <br /> have been paid in full, in an amoun t sufficient to amortize the <br /> Pr inc ipal Bal ance hereof as of 1, 2000. Pr inc i pal and <br /> in terest shall be payable to the reg istered owner he r eo f at the <br /> address shown on the registration book maintained by the City <br /> CI erk of the City of Louisville, as registrar. <br /> This Bo nd is iss ued by the Iss uer to prov ide funds for a <br /> project, as defined in Sec tion 29-3-l03(10) of the Coun ty and <br /> Municipality Developmen t Revenue Bond Act, Ti tl e 29, Art icle 3, <br /> Part 1, C.R.S. ( the "Act" ) consisting of acquiring and developing <br /> land and constructing thereon an approx ima tely 26,000 sq uare foot <br /> manufac tur ing and of fice fac il i ty , incl ud ing all necessary and <br /> appurtenant real and personal proper ty, which will be leased to <br /> Sc 0 pe Manufactur ing Inc. , a Colorado corporation, for use in <br /> manufact ur ing prec i s ion shee t me tal products for the computer <br /> industry, all loca ted within the boundaries of the Is s ue r (the <br /> "Project"), purs uan t to a Loan Agreemen t da t ed as of the date <br /> hereof, amo ng the Issuer, Kl ister Pr 0 pe r tie s , a Colorado general <br /> par tnershi p (the II Borrower ") , and the Lender and is fur ther is s ue d <br /> pur suan t to and in full compl iance with the Ordinance fin all y <br /> adopted by the Is suer pr ior to the iss uance of the Bond.
