7.1. Terms used in this Agreement, which are defined in Article 1 of the General Conditions, shall have the <br />meanings indicated in the General Conditions. <br />7.2. No assignment by a party hereto of any rights under or interests in the Contract Documents will be <br />binding on another party hereto without the written consent of the party sought to be bound; and <br />specifically but without limitation, moneys that may become due and moneys that are due may not be <br />assigned without such consent (except to the extent that the effect of this restriction may be limited by <br />law), and unless specifically stated to the contrary in any written consent to an assignment no <br />assignment will release or discharge that assignor from any duty or responsibility under the Contract <br />Documents. <br />7.3. OWNER and CONTRACTOR each binds itself, its partners, successors, assigns and legal representatives <br />to the other party hereto, its partners, successors, assigns and legal representatives in respect to all <br />covenants, agreements and obligations contained in the Contract Documents. <br />7.4. OWNER AND CONTRACTOR consent to the use of electronic signatures on the Contract Documents. This <br />Agreement, and any other Contract Documents requiring a signature hereunder, may be signed <br />electronically by the Parties in the manner specified under the Uniform Electronic Transactions Act, Title <br />24, Article 71.3, Part 1, C.R.S.; provided that, electronic records of, and electronic signatures on, any <br />required bonds, including required Performance, Labor and Material Payment, and Warranty Bonds, <br />must be acceptable to the Contractor's selected surety. The Parties agree not to deny the legal effect or <br />enforceability of a Contract Document solely because the document is in electronic form or because an <br />electronic record was used in its formation. The Parties agree not to object to the admissibility of a <br />Contract Document in the form of an electronic record, or a paper copy of an electronic document, or a <br />paper copy or electronic record of a document bearing an electronic signature, on the ground that it is <br />an electronic record or electronic signature or that it is not in its original form or is not an original. <br />5 <br />2024 Concrete Replacement Project Agreement <br />36 <br />
