STATEWIDE CONTRACT MANAGEMENT SYSTEM <br />If the maximum amount payable to Contractor under this Contract is $100,000 or greater, <br />either on the Effective Date or at any time thereafter, this section shall apply. Contractor agrees <br />to be governed by and comply with the provisions of § §24-106-103, 24-102-206, 24-106-106, <br />and 24-106-107, C.R.S. regarding the monitoring of vendor performance and the reporting of <br />contract performance information in the State's contract management system ("Contract <br />Management System" or "CMS"). Contractor's performance shall be subject to evaluation and <br />review in accordance with the terms and conditions of this Contract, Colorado statutes governing <br />CMS, and State Fiscal Rules and State Controller Policies. <br />18. GENERAL PROVISIONS <br />A. Assignment <br />Contractor's rights and obligations under this Contract are personal and may not be <br />transferred or assigned without the prior, written consent of the State. Any attempt at assignment <br />or transfer without such consent shall be void. Any assignment or transfer of Contractor's rights <br />and obligations approved by the State shall be subject to the provisions of this Contract <br />B. Subcontracts <br />Unless other restrictions are required elsewhere in this Contract, Contractor shall not <br />enter into any subcontract in connection with its obligations under this Contract without <br />providing notice to the State. The State may reject any such subcontract, and Contractor shall <br />terminate any subcontract that is rejected by the State and shall not allow any Subcontractor to <br />perform any Work after that Subcontractor's subcontract has been rejected by the State. <br />Contractor shall submit to the State a copy of each such subcontract upon request by the State. <br />All subcontracts entered into by Contractor in connection with this Contract shall comply with <br />all applicable federal and state laws and regulations, shall provide that they are governed by the <br />laws of the State of Colorado, and shall be subject to all provisions of this Contract. <br />C. Binding Effect <br />Except as otherwise provided in § 18.A., all provisions of this Contract, including the <br />benefits and burdens, shall extend to and be binding upon the Parties' respective successors and <br />assigns. <br />Page 25 of 41 <br />
