IIIIIIIIIIII'�IIIIIIIIIIIIIIIiIINluwllnlllll9il :•a �`�aa <br />Boulder County Clerk, CO <br />GRANT OF CONSERVATION EASEMENT IN GROSS <br />(REX THEATRE — 817 MAIN STREET) <br />THIS GRANT OF CONSERVATION EASEMENT IN GROSS ("Easement") is <br />made this 1 day of 'YY1ot-1 , 2011, by BLT Enterprises, LLC (hereinafter "Owner") <br />to the City of Louisville, a Colorado home rule municipal corporation (hereinafter "City"). <br />RECITALS <br />WHEREAS, Owner is the owner in fee simple of certain real property (the "Property") and <br />the improvements thereon (the "Structure") located at 817 Main Street, Louisville, Colorado, more <br />particularly described in Exhibit A attached hereto and incorporated herein by reference; and <br />WHEREAS, the Structure has certain elements of historical, architectural, and cultural <br />interest and value, which elements are collectively described in Exhibit B attached hereto and <br />incorporated herein by reference; and <br />WHEREAS, in exchange for the grant of this Easement, the City has agreed to expend <br />monies from its Historic Preservation Fund to allow Owner to restore and preserve portions of <br />the Structure; and <br />WHEREAS, the conservation purpose of this grant is recognized by, and will serve, at <br />Ieast and without limitation, the following clearly delineated governmental conservation policy: <br />C.R.S. § 38-30.5-101, et sec ., providing for the establishment of conservation <br />easements "appropriate to the conservation and preservation of buildings, sites, or <br />structures having historical, architectural, or cultural interest or value;" <br />WHEREAS, Owner desires to grant to the City in perpetuity a conservation easement in <br />gross, pursuant to Article 30.5, Title 38, C.R.S., over and across the Property for the purpose of <br />preserving and protecting the Structure's historical, architectural, and cultural interest and value, <br />which are of great importance to the Owner, City, and the people of the City of Louisville and <br />are worthy of preservation; and <br />WHEREAS, the City desires to acquire from Owner a conservation easement in gross on <br />the Property, in order to preserve and protect the Structure's historical, architectural, and cultural <br />interest and value in perpetuity consistent with the terms and conditions hereof. <br />GRANT OF EASEMENT <br />NOW, THEREFORE, in specific consideration for the expenditure of Historic <br />Preservation Fund monies by the City for the preservation and restoration of the Structure as <br />detailed in the grant application approved by City Resolution No. 8, Series 2011 (the "Project") <br />and pursuant to Section 38-30.5-101, et seq., C.R.S., Owner intends and does hereby grant and <br />convey to the City in perpetuity a Conservation Easement in Gross for the purposes of preserving <br />1 <br />
