AGREEMENT FOR ECONOMIC DEVELOPMENT SERVICES <br />JANUARY 1, 2024 <br />THIS AGREEMENT FOR ECONOMIC DEVELOPMENT SERVICES ("Agreement") is <br />made and entered into the 1st day of January, 2024 by and between the City of Louisville, Colorado <br />("City"), a municipal corporation, and the City of Boulder on behalf of the Boulder Small Business <br />Development Center ("SBDC" or "Contractor"). The City and SBDC may hereinafter be referred <br />to individually as a "Party" or collectively as the "Part6ies." <br />WHEREAS, the City of Boulder hosts the SBDC which focuses on three (3) areas of <br />support for the small business: training (short and long-term), counseling, and access to valuable <br />resources. The SBDC helps small businesses analyze marketing and growth issues, set reasonable <br />short and long-term goals, obtain financing, and prosper in competitive markets; and <br />WHEREAS, the stimulation of economic growth is recognized to serve both the public <br />interest and municipal purposes of the City by enhancing the tax base and creating employment <br />opportunities; <br />WHEREAS, it is deemed advisable for the City to contract for the provision of SBDC <br />Services including free one-on-one business counseling, practical business workshops, and <br />connection to business resources — both tools and professionals; and <br />WHEREAS, the Parties acknowledge that the date of the Parties' execution of this <br />agreement is after December 31, 2024. However, it is the Parties' intent that the effective date of <br />this Agreement is January 1, 2024. <br />NOW, THEREFORE, in consideration of the mutual promises set forth herein, it is agreed <br />as follows: <br />1. SERVICES AND DUTIES. The SBDC agrees to provide the business services, <br />programs and regular reporting requirements as outlined in Exhibit A, Scope of Services, attached <br />hereto and incorporated herein. Contractor shall not endorse or campaign for anyone running for <br />elected positions in the City. <br />2. COMPENSATION. The SBDC agrees to provide the services described in Exhibit <br />A of this Agreement. The City will provide $70,800 to compensate the SBDC for the services to <br />be provided under this Agreement. The City shall pay said $70,800 in twelve (12) equal <br />installments of $5,900 each, to be made no later than the 10th day of each month during the term <br />of this Agreement. The Compensation is inclusive of all costs of whatsoever nature associated <br />with the SBDC's efforts, including but not limited to, salaries, benefits, expenses, overhead, <br />administration, profits, and outside consultant fees. The Scope of Services and payment therefor <br />shall only be changed by a properly authorized amendment to this Agreement. No City employee <br />has the authority to bind the City with regard to any payment for any services which exceeds the <br />amounts payable under the terms of this Agreement. <br />3. TERM.
