RESOLUTION NO. 26 SERIES 1999 A RESOLUTION APPROVING RELEASE AGREEMENTS IN CONJUNCTION WITH THE CITY'S PURCHASE OF THE PARKWAY OPEN SPACE PARCELS WHEREAS, by Resolution No. 24, Series 1999, the City Council approved an intergovernmental agreement CIGA") between the City of Louisville and the County of Boulder, regarding the purchase and sale of fee title interests in and conservation easements over certain parcels of real estate, together with water rights, totaling approximately 290 acres and referred to as the .Parkway Open Space Parcels; and WHEREAS, the IGA requires that the City provide certain written releases to the current owners of Parkway Open Space Parcels; and WHEREAS, the City Council is willing to provide the releases in exchange for certain releases from the owners, and finds that such releases will facilitate the City's acquisition of interests in and conservation easements over the Parkway Open Space Parcels. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF LOUISVILLE, COLORADO: 1. The proposed Release Agreement between the City of Louisville and Trillium Corporation, a copy of which is attached hereto and incorporated herein by this reference (the "Trillium Release"), is hereby approved. The Mayor is hereby authorized to execute the Trillium Release on behalf of the City Council of the City of Louisville, subject to the requirement that the Trillium Release be executed by Trillium Corporation. The Mayor may not execute the Trillium Release if it will not be executed by such entity. 2. The proposed Release Agreement between the City of Louisville and Boulder County Land Venture and M.D.C. Corporation, a copy of which is attached hereto and incorporated herein by this reference (the "BCLV Release"), is hereby approved. The Mayor is hereby authorized to execute the BCLV Release on behalf of the City Council of the City of Louisville, subject to the requirement that the BCLV Release be executed by Boulder County Land Venture and M.D.C. Corporation. The Mayor may not execute the BCLV Release if it will not be executed by such entities. 3. The Mayor is hereby granted the authority to negotiate and approve such revisions to said Trillium Release and BCLV Release as the Mayor determines are necessary or desirable for the protection of the City, so long as the essential terms and conditions thereof are not altered.
