INFRASTRUCTURE ASSISTANCE AGREEMENT <br />THIS INFRASTRUCTURE ASSISTANCE AGREEMENT (this "Agreement") <br />dated as of , , 2024, is made by and between the <br />LOUISVILLE REVITALIZATION COMMISSION an urban renewal authority and a body <br />corporate and politic of the State of Colorado (the "LRC"), and BASECAMP LOUISVILLE, <br />LLC, a Colorado limited liability company (the "Developer"). The LRC and Developer are <br />sometimes collectively called the "Parties," and individually, a "Party." <br />RECITALS <br />All capitalized terms used, but not defined, in these Recitals, have the meanings <br />ascribed to them in this Agreement. The Recitals are incorporated into this Agreement <br />as though fully set forth in the body of this Agreement. <br />WHEREAS, the LRC is a body corporate and politic authorized to transact <br />business and exercise its powers as an urban renewal authority under and pursuant to <br />the Colorado Urban Renewal Law, Part 1 of Article 25 of Title 31, C.R.S. (the "Act"); <br />WHEREAS, the Developer is the owner of certain real property located at 1303 <br />Empire Road, Louisville, CO, which is legally described in Exhibit A, attached hereto and <br />incorporated herein by this reference (the "Property"); <br />WHEREAS, the Developer proposes a new distillery production facility, tasting <br />room and event center with indoor and outdoor public spaces. The project is more <br />particularly described in Exhibit B, attached hereto and incorporated herein by this <br />reference (the "Project"); <br />WHEREAS, the Project includes associated public and private infrastructure <br />improvements, including but not limited to roadway improvements to Empire Road, a <br />public multi -use path, drainage and irrigation ditch improvements landscaping and water <br />and sewer connections and upgrades as more particularly described in Exhibit C, <br />attached hereto and incorporated herein by this reference (the "Project Improvements"); <br />WHEREAS, the Project is located within the area (the "Plan Area") described in <br />the Highway 42 Revitalization Area Urban Renewal Plan (the "Plan"). Completion of the <br />Project and Project Improvements will remove barriers to development and remediate <br />adverse conditions within the Plan Area, and will be carried out in furtherance of the <br />purposes of the Act and Plan; <br />WHEREAS, the LRC has determined that assistance in reimbursing the <br />Developer for the costs of the Project is consistent with and in furtherance of the purposes <br />of the LRC and the Urban Renewal Plan; <br />WHEREAS, the LRC, therefore, seeks to reimburse the Developer for a portion of <br />the cost of the Project of Six Hundred Fifty Thousand Dollars ($650,000.00) (as further <br />defined below, the "Reimbursement Amount") as set forth in this Agreement; <br />10/23/2024 <br />G: I ECONOMIC VITALITYI LRCI2024 AGENDAS AND PACKETSI2024 10 301IRONTON PUBLIC INFRASTRUCTURE CONTRACT.DOCX <br />
