6. Access to Property. The City, at all times during the term of this Contract <br />and subject to reasonable notification to Seller, shall have access to the Property at pre- <br />arranged times mutually agreeable with the Seller for the purpose of conducting tests, <br />studies, and surveys thereon. The City shall be responsible for all claims and liability for <br />damages, loss or expenses caused by, or any injury or death to any person or damage to <br />property which is connected with or results from the entry upon the Property by the City for <br />the inspections permitted herein, unless caused by the sole negligence or willful and <br />wanton act of Seller. <br />7. Representations and Warranties. Seller hereby represents and warrants <br />to the City, that as of the date of the signing of this Contract: <br />a. Seller has received no actual notice of, and has no other knowledge <br />of, any litigation, claim or proceeding, pending or currently threatened, which in any <br />manner affects the Property. <br />b. Seller has received no actual notice, and has no other knowledge of, <br />any current, existing violations of any federal, state or local law, code, ordinance, <br />rule, regulation, or requirement affecting the Property. <br />c. Seller has the full right, power and authority to transfer and convey <br />the Property to the City as provided in this Contract and to carry out the Seller's <br />obligations under this Contract. <br />d. Each and every document, schedule, item, and other information <br />delivered or to be delivered by the Seller to the City hereunder, or made available <br />to the City for inspection hereunder, shall be true, accurate, and correct to the <br />best of Seller's knowledge. <br />e. Seller has not entered into any agreements with any private persons <br />or entity or with any governmental or quasi -governmental entity with respect to the <br />Property that may result in liability or expenses to City upon the City's acquisition of <br />all or any portion of the Property. <br />f. There are no special assessments which now burden or encumber <br />the Property and there are no special assessments currently proposed as to the <br />Property. <br />g. The execution and delivery of this Agreement and the performance <br />of all of the obligations of Seller hereunder will not result in a breach of or <br />constitute a default under any agreement entered into by Seller or under any <br />covenant or restriction affecting the Property. <br />3 <br />
