<br /> year. All payments shall be made by City of Louisville check. Any <br /> interest that may accrue on fees collected on behalf of LFPD but not yet <br /> paid to LFPD shall be:long to Louisville. <br /> 5.4 Either Party hereto may terminate its participation in this <br /> Agreement with or without cause upon thirty (30) days prior written notice <br /> to the other. Upon tennination of the Agreement, Louisville shall, within <br /> thirty (30) days of the: date of termination, pay to LFPD a sum equal to the <br /> amount of all fire protection systems permit fees collected by Louisville <br /> from the first day of the calendar year in which the date of termination <br /> occurred through and including the date of termination. <br /> 5.5 It is understood and agreed that each Party shall maintain the level <br /> of personnel and equipment necessary to meet its obligations under this <br /> Agreement. <br /> 5.6 The Parties enter into this Agreement as separate, independent <br /> governmental entities and shall maintain such status throughout the term <br /> of this Agreement. Employees of each Party shall remain employees of <br /> that Party for all purposes throughout the term ofthis Agreement. <br /> 5.7 Louisville shall collect fees on behalf of LFPD at the rates set forth <br /> in Section 5.2 above. Fees collected by Louisville on behalf of LFPD as <br /> described herein shall constituted collections for another government <br /> under Article X, Section 20 of the Colorado Constitution, and shall not <br /> constitute "fiscal year spending" of Louisville, as set forth in Article X, <br /> Section 20 of the Colorado Constitution. All fees collected by Louisville <br /> on behalf of LFPD shall be revenues of LFPD. <br /> 5.8 For and in consideration of the obligations set forth herein, LFPD <br /> shall not charge Louisville any fire protection systems permit application <br /> fees or any plan review application fees for reviews done by LFPD on any <br /> applications for projects on behalf of Louisville. LFPD shall also not <br /> charge Louisville any fees for standby personnel and/or apparatus, or any <br /> other fees or costs incurred by LFPD in connection with Louisville's <br /> annual July 4th fireworks display. <br />6.0 GOVERNMENTAL IMMUNITY. The Parties hereto understand and <br />agree that Louisville and LFPD are relying on and do not waive or intend to waive by this <br />Agreement or any provision hereof, the monetary limitations or any other rights, <br />immunities, and protections provided by the Colorado Governmental Immunity Act, <br />C.R.S. 24-10-101, et seq., as from time to time amended, or otherwise available to either <br />Louisville or LFPD. <br />7.0 ASSIGNMENT. This Agreement shall not be assigned by and <br />Party without the prior written consent of all Parties. .... - <br />8.0 NOTICES. Any notiee required or permitted by this Agreement shall be <br />in writing and shall be deemed to have been sufficiently given for all purposes if sent by <br />certified mail or registered mail, postage and fees prepaid, addressed to the Party to <br />whom such notice is to be given at the address set forth herein or at such address as has <br /> 12 <br />
