year. All payments shall be made by City of Louisville check. Any interest that may accrue on fees collected on behalf of LFPD but not yet paid to LFPD shall be:long to Louisville. 5.4 Either Party hereto may terminate its participation in this Agreement with or without cause upon thirty (30) days prior written notice to the other. Upon tennination of the Agreement, Louisville shall, within thirty (30) days of the: date of termination, pay to LFPD a sum equal to the amount of all fire protection systems permit fees collected by Louisville from the first day of the calendar year in which the date of termination occurred through and including the date of termination. 5.5 It is understood and agreed that each Party shall maintain the level of personnel and equipment necessary to meet its obligations under this Agreement. 5.6 The Parties enter into this Agreement as separate, independent governmental entities and shall maintain such status throughout the term of this Agreement. Employees of each Party shall remain employees of that Party for all purposes throughout the term ofthis Agreement. 5.7 Louisville shall collect fees on behalf of LFPD at the rates set forth in Section 5.2 above. Fees collected by Louisville on behalf of LFPD as described herein shall constituted collections for another government under Article X, Section 20 of the Colorado Constitution, and shall not constitute "fiscal year spending" of Louisville, as set forth in Article X, Section 20 of the Colorado Constitution. All fees collected by Louisville on behalf of LFPD shall be revenues of LFPD. 5.8 For and in consideration of the obligations set forth herein, LFPD shall not charge Louisville any fire protection systems permit application fees or any plan review application fees for reviews done by LFPD on any applications for projects on behalf of Louisville. LFPD shall also not charge Louisville any fees for standby personnel and/or apparatus, or any other fees or costs incurred by LFPD in connection with Louisville's annual July 4th fireworks display. 6.0 GOVERNMENTAL IMMUNITY. The Parties hereto understand and agree that Louisville and LFPD are relying on and do not waive or intend to waive by this Agreement or any provision hereof, the monetary limitations or any other rights, immunities, and protections provided by the Colorado Governmental Immunity Act, C.R.S. 24-10-101, et seq., as from time to time amended, or otherwise available to either Louisville or LFPD. 7.0 ASSIGNMENT. This Agreement shall not be assigned by and Party without the prior written consent of all Parties. .... - 8.0 NOTICES.
