<br />which the Party is a member. The duty to disclose is continuing in that the Parties shall <br />notify the other of any mutual aid agreement executed or in effect at any time during the <br />term of this Agreement. <br />18. RESERVATION OF RIGHTS. Annexation by the City of land not <br />presently within the City is not contingent upon inclusion of that land into the Fire <br />District. In the event the Fire District refuses to provide Fire Services to any land within <br />the City as of the date of this Agreement that is not within the boundaries of another fire <br />services provider or that has been excluded therefrom, or any land that annexed into the <br />City in the future but that is not within the boundaries and jurisdiction of the Fire District <br />or another fire services provider, the City reserves the right to provide Fire Services to <br />that land upon written notice to the Fire District, which right is in addition to the City's <br />rights to enforce this Agreement. <br />19. TERM AND EXTENSION OF AGREEMENT <br />a. The term of this Agreement shall be five (5) years. <br />b. This Agreement shall automatically renew for two (2) subsequent periods <br />of five (5) years after the initial term of this Agreement unless the Fire District or the City <br />shall give written notice of intent not to renew a minimum of one (1) year prior to the <br />expiration of a term including, as applicable, the initial term and any renewal term. <br />Failure by either Party to give written notice shall operate as a renewal only for the term <br />immediately following, and not any subsequent terms. <br />c. Notwithstanding any other provision to the contrary, either Party may, for <br />any or no reason, terminate this Agreement upon 180 days prior written notice to the <br />other Party. <br />20. SEVERABILITY. <br />a. If any portion of this Agreement shall be determined by a court of <br />competent jurisdiction to be invalid, illegal, or unconstitutional, such determination shall <br />not affect the validity of the remaindler of the Agreement. <br />b. If the validity, legality or constitutionality or performance of any portion <br />of this Agreement shall be impeded or otherwise affected by any change in pertinent law <br />or order of court, it is the desire and intent of the Parties to perform and comply with this <br />Agreement as nearly as possible according to its spirit and expressed intent until the <br />Parties agree to changes consistent with and in accordance with the change in law or <br />Court order, as applicable. <br />21. AMENDMENT. This Agreement may only be modified or amended by <br />written agreement duly signed by both Parties. <br />22. BINDING EFFECTS. This Agreement shall be binding upon"and shall <1# <br />insure to the benefit of the Parties, their successors and assigns. <br />23. NOTICES.
