propaganda or otherwise attempting to influence legislation and the Commission shall <br />not participate in, or intervene in (including the publishing or distributing of statements), <br />any political campaign on behalf of or in opposition to any candidate for public office. <br />Notwithstanding any other provisions of these bylaws, the Commission shall not carry <br />on any other activity not permitted to be carried on (a) by a corporation exempt from <br />federal income tax under Section 501(c)(3) of the Internal Revenue Code of 1954 (or <br />the corresponding provisions of any future federal Internal Revenue Code law), or by (b) <br />a corporation, contributions to which are deductible under Section 170(c)(2), of the <br />Internal Revenue Code (or the corresponding provisions of any future federal Internal <br />Revenue Code law). The corporation shall not issue any shares of stock nor shall the <br />corporation make any loans to its members or officers. <br />Section 4 Dissolution. — Upon dissolution or final liquidation of the Commission, <br />the Board of Directors shall, after paying or making provision for the payment of all of <br />the liabilities of the Commission, dispose of all of the Commission assets to such <br />organization or organizations organized and operated exclusively for charitable, <br />educational, civic, or scientific purposes, as shall at the time qualify as an exempt <br />organization under Section 501(c)(3) of the Internal Revenue Code (or the <br />corresponding provisions of any future federal Internal Revenue Code law). Any such <br />assets not so disposed of shall be disposed of by the district court for the county in <br />which the principal office of its registered agent is located, or, if the Council has no <br />registered agent, the district court of the City and County of Denver, Colorado <br />exclusively for such purposes or to such organization or organizations, as said court <br />shall determine, that are formed and operated exclusively for such purposes. <br />Section 5 Purchasina Policies — All 501(c)(3) funds shall be spent in <br />accordance with City of Louisville purchasing policies. <br />Section 6 Non-Discrimination — All 501(c)(3) funds shall be spent in <br />accordance with the non-discrimination rules , including without limitation the City's <br />policy not to discriminate on the basis of race, religion, sex, color, age over 40 years, <br />national origin, sexual orientation, genetic information, disability, military status or any <br />other status protected by applicable law.
