propaganda or otherwise attempting to influence legislation and the Commission shall not participate in, or intervene in (including the publishing or distributing of statements), any political campaign on behalf of or in opposition to any candidate for public office. Notwithstanding any other provisions of these bylaws, the Commission shall not carry on any other activity not permitted to be carried on (a) by a corporation exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provisions of any future federal Internal Revenue Code law), or by (b) a corporation, contributions to which are deductible under Section 170(c)(2), of the Internal Revenue Code (or the corresponding provisions of any future federal Internal Revenue Code law). The corporation shall not issue any shares of stock nor shall the corporation make any loans to its members or officers. Section 4 Dissolution. — Upon dissolution or final liquidation of the Commission, the Board of Directors shall, after paying or making provision for the payment of all of the liabilities of the Commission, dispose of all of the Commission assets to such organization or organizations organized and operated exclusively for charitable, educational, civic, or scientific purposes, as shall at the time qualify as an exempt organization under Section 501(c)(3) of the Internal Revenue Code (or the corresponding provisions of any future federal Internal Revenue Code law). Any such assets not so disposed of shall be disposed of by the district court for the county in which the principal office of its registered agent is located, or, if the Council has no registered agent, the district court of the City and County of Denver, Colorado exclusively for such purposes or to such organization or organizations, as said court shall determine, that are formed and operated exclusively for such purposes. Section 5 Purchasina Policies — All 501(c)(3) funds shall be spent in accordance with City of Louisville purchasing policies. Section 6 Non-Discrimination — All 501(c)(3) funds shall be spent in accordance with the non-discrimination rules , including without limitation the City's policy not to discriminate on the basis of race, religion, sex, color, age over 40 years, national origin, sexual orientation, genetic information, disability, military status or any other status protected by applicable law.
