Purchaser agrees that the Chaussard/Damyanovich names shall be recognized in the <br />naming of those portiones) of the Property that Louisville determines to place in the City's open <br />space inventory. Purchaser also agr1ees that, at or prior to any resale of Parcel 3, Purchaser shall <br />encumber Parcel 3 and/or the barn structure on Parcel 3 with covenants or a conservation easement <br />limiting exterior modifications to such barn structure. Such covenants or easement shall be in form <br />determined by the Purchaser. The parties agrees that the foregoing provisions constitute contractual <br />commitments of the City but do not c:onstitute covenants or encumbrances upon, or otherwise touch <br />or concern, title to the Property being conveyed to the City. <br /> <br />31. This Contract, and Exhibits A, B, C, D and E to this Contract, constitute the entire <br />understanding between the Seller and the Purchaser with respect to the subject matter, may be <br />amended only in writing by all parties, and are binding upon the agents, personal representatives, <br />heirs, lessees, assigns, and all other successors in interest to the parties. <br /> <br />32. If any provision of this Contract is held to be illegal, invalid, or unenforceable under <br />present or future laws, such provision shall be fully severable. <br /> <br />33. Seller shall not act or fail to act in performance of this Contract in any may which <br />would limit, impair or restrict the Ci~y's ability, as Purchaser, to use and expend funds generated by <br />the sales and use tax adopted by Ordinance No. 1395, Series 2002, for the acquisition and purchase <br />of the Property as parks or open spac~:. <br /> <br />13 <br />
