<br />b. A good and sufficient bargain and sale deed in a form acceptable to Purchaser, <br />properly executed and acknowledged, conveying all of Seller's interests in the Water Rights <br />described in Paragraph 1.b.; <br /> <br />c. A good and sufficient bargain and sale deed in a form acceptable to Purchaser, <br />properly executed and acknowledged, conveying all of Seller's interests in any gores or other <br />areas for which Seller may have an interest or claim thereto, whether by reason of fence <br />locations, boundary discrepancies, adverse possession or any other cause; <br /> <br />d. If requested by Purchaser, a good and sufficient assignment and bill of sale in a form <br />acceptable to Purchaser, conveying any rights in personal property as described in Paragraph <br />l.a. and l.c., above; <br /> <br />e. A letter from FRICO stating that the Seller's ownership of Seller's share in such <br />Company is free and clear of all liens, encumbrances and assessments; <br /> <br />f. Properly executed and acknowledged transfer requests in form acceptable to <br />Purchaser and addressed to FRICO requesting conveyance of Seller's share in such <br />Company to the Purchaser; <br /> <br />g. Seller's stock certificate(s) reflecting Seller's current ownership of those Water <br />Rights evidenced by stock certificate(s). Purchaser or the Title Company shall send said <br />stock certificate(s), along with the transfer requests and a copy of the deed for the Water <br />Rights to the appropriate water companies for the issuance of new stock certificate(s) <br />indicating Purchaser's ownership of the Water Rights. <br /> <br />h. Any additional documents which Purchaser, the water companies or Division of <br />Water Resources require for transfer of the Water Rights, including without limitation, a lost <br />instrument bond, the Affidavits of Historical Use and summaries described in Paragraph <br />l4.a, below, and the Covenant described in Paragraph l4.b, below, each of which shall be <br />properly executed and acknowledged, and in forms required by this Contract or otheIWise <br />acceptable to Seller. Purchaser shall pay for all ordinary costs and fees imposed by the water <br />companies or Division of Water Resources to transfer Water Rights to Purchaser. Seller <br />shall be responsible for any costs and fees associated with obtaining additional <br />documentation, such as a lost instrument bond. <br /> <br />i. All instruments, cenificates, affidavits, and other documents necessary to satisfy the <br />requirements listed on Schedule B-1 of the title commitment; <br /> <br />j. An update of the title commitment, at Seller's expense, showing title to the Property <br />to be subject only to the penmitted exceptions determined by Paragraphs 6-8, above; <br /> <br />5 <br />
